CHARTER
PARENT SCHOOL ASSOCIATION
Of The
AMERICAN EMBASSY SCHOOL
Article 1. Name
1.1 |
The name of this organization shall be the Parent School Association of The American Embassy School, New Delhi, India. |
Article 2. Definitions
2.1 |
As used in this Charter, the following terms shall have these meanings:

2.1.1. |
“AES” shall mean The American Embassy School, New Delhi, India. |
|
2.1.2. |
“AES Association” shall mean The American Embassy School Association that is created by the Charter of AES. |
|
2.1.3. |
“AES Administration” shall mean the Director, the Principals, Assistant Principal(s), the Business Manager, the Coordinator of Admissions and Community Programs and the Curriculum Coordinator.

2.1.4. |
“Members” or “Membership” shall mean all parents and/or legal guardians of the students of AES.
|
|
2.1.5. |
“AES Faculty” shall mean the professional teaching staff of AES. “Members” or “Membership” shall mean all parents and/or legal guardians of the students of AES.
|

2.1.6. |
“Committee Members” of the PSA shall mean those referred to at Article 6 of this Charter.
|
|
2.1.7. |
“Parents” shall mean parents and legal guardians of students at AES.
|
|
2.1.8. |
“PSA” shall mean the Parent School Association of AES.
|
|
2.1.9. |
"Executive Committee" shall mean the Executive Chair, Representatives and/or Co-Representatives from Elementary, Middle and High School, the Secretary, Treasurer, Board Representative, Curriculum Council Representative, Webmaster, Events Coordinator(s), and any other involved members deemed necessary.

Article 3. Purpose
3.1 |
The principal purpose of the PSA is to develop a continuing channel of communication between Parents and AES in order to promote an atmosphere of goodwill and cooperation in support of AES’s mission statement.[1]

3.2 |
In pursuing its principal purpose, the PSA shall, among other things:
|

3.2.1. |
Act as a link between Parents and AES and provide an alternative channel of communication. |
|
3.2.2. |
Provide social venues for parents, students and teachers to interact.
|
|
3.2.3. |
Provide forums for the expression of views on matters of general interest to students, parents and faculty.
|
|
3.2.4. |
Provide services in support of school activities.
|
|
3.2.5. |
Raise funds, transact business and exercise such functions as may be necessary in the execution of the objectives of the PSA.
|
|
3.2.6. |
Represent the views of the Parents to the Director, the Administration and the AES Board of Governors.
|
|
3.2.7. |
Keep a website updated with relevant and timely information.
|
Article 4. Membership
4.1 |
Membership means all parents and legal guardians of AES students.
|
Article 5. PSA Committees
5.1 |
There will be three PSA Committees, namely the Elementary School Committee (“ES Committee”), the Middle School Committee (“MS Committee”) and the High School Committee (“HS Committee”).
|
5.2 |
Each school's Committee may consist of a Representative and/or Co-Representatives, Events Coordinator(s) and such additional members as may be deemed necessary by the Committee.
|
5.3 |
There will be an Executive Committee consisting of the Executive Chair, the Representatives and Co-Representatives from each of the schools, the Treasurer, Secretary, Board Representative, Curriculum Council Representative, Webmaster, Events Coordinator(s) and such additional members as may be deemed necessary by the Executive Committee. Any seven members shall constitute a quorum.

5.4 |
There will be one Treasurer for all three Committees. The Treasurer will attend meetings as required by the Committee Chairs. If necessary, this function may be fulfilled by any one of the involved officers as an additional duty until a Treasurer can be elected.

5.5 |
There will be one Secretary for all three Committees, who shall attend all regular and any specially called meetings of the PSA to take the minutes. If necessary, this function may be fulfilled by any one of the involved officers as an additional duty until a Secretary can be elected. |
5.6 |
There will be one Webmaster in charge of keeping information on the PSA website up to date and who will liaison with the Secretary as necessary as well as the Administration’s Information Technology department to coordinate electronic messages sent to Association members. If necessary, this function may be fulfilled by any one of the involved officers as an additional duty.

5.7 |
Election of the PSA Executive Chair and Representatives and/or Co-Representatives from each of the schools shall be held annually at the beginning of the fourth quarter of each school year. The newly elected Executive Chair and Representatives may serve as apprentices to the corresponding outgoing positions until the beginning of the next school year.

5.8 |
The PSA Executive Committee may appoint members to serve as (i) a Representative to the Board of Governors and any open subcommittees and (ii) a Representative to the Curriculum Council. If either office is vacant, any one of the involved officers may serve as the Board Representative and/or Curriculum Council Representative until such positions can be filled.

5.9 |
All Members are welcome to volunteer for any position on any Committee of the PSA. If the number of volunteers exceeds the number of committee positions available, then an election will be held.
|
5.10 |
Vacancies of any PSA Committee may be filled at any meeting of the PSA.
|
5.11 |
No one may serve for more than two (2) terms in the same position.
|
Article 6. PSA Meetings
6.1 |
The All-School PSA Meetings shall be once each month according to the following procedure:
(a) |
Approval of previously held general meeting minutes. |
(b) |
The Executive Chair shall preside over the monthly General Meetings and the Executive Committee Meetings using the agenda as prepared by the Executive Committee. Said agenda shall include briefs from the ES, MS and HS Representatives on their coffees and respective school issues. In the event of the Executive Chair's absence, on a rotational basis, a Representative from any of the three schools may preside at the general and executive meetings.

Open discussion on any issues/suggestions that may arise pertinent to the AES community. |

6.2 |
An Election General Meeting shall be held at the beginning of the fourth quarter of each school year.
|
6.3 |
The All-School meetings are open to all Members.
|
6.4 |
The venue and time of the regular monthly PSA meetings will be set by the Executive Committee.
|
6.5 |
Other meetings of the PSA membership may be called during the course of the AES academic year by the PSA Executive Committee, or upon written petition to the Executive Committee by twenty-five (25) members of the PSA Membership.

6.6 |
The Executive Committee may call a meeting of the Executive Committee as necessary and may invite such persons as may be deemed necessary to conduct business.
|
Article 7. Finance
7.1 |
The fiscal year of the PSA shall be from July 1 through June 30.
|
7.2 |
Operating funds for the PSA shall be from fund-raising activities, donations or gifts.
|
7.3 |
PSA funds shall be expended and disbursed solely on the authority of the PSA Executive Committee provided in the form of two (2) signatures, one being the Executive Chair or one of the PSA School Representatives and the second being that of the Treasurer.

Article 8. Amendments to Charter
8.1 |
Proposed amendments to this Charter may be initiated by any Member.
|
8.2 |
Charter amendments may be approved and adopted by a unanimous vote of a quorum of Executive Committee members.
|
Article 9. Dissolution
9.1 |
The PSA may be dissolved by a majority vote of its Members.
|
9.2 |
Upon dissolution of the PSA, any remaining funds in the treasury of the PSA shall be contributed to the general operations fund of the American Embassy School.
|
This Charter was amended by a majority vote of the Parent School Association's Executive Committee at a meeting held this 13th day of May, 2004.
