I. Objectives | |||||||||||||||||||||||||||||
The HAAS exists to bring together the people interested in promoting American studies in Hungary, to organize public lectures and conferences, and to encourage the participation of scholars in Hungarian and international conferences. It is also the Association's goal to publish material relating to the interests of the HAAS; for example, a regular newsletter and the Association Yearbook, as well as other publiations which promote American studies in Hungary. | |||||||||||||||||||||||||||||
II. Composition | |||||||||||||||||||||||||||||
The HAAS has full, honorary, and supporting members. Any resident of Hungary can be a full member, provided he/she accepts and supports the goals of the Association and pays the annual fee. Anyone who in the estimate of the Association's Board has made a significant contribution to the advancement of American studies in Hungary may be made honorary member and not be required to pay membership dues. Any organization, institution, company, etc. which is willing to pay a lump sum to cover its member's dues or which is willing to subsidize specific projects of the Association may become a "supporting member" of the HAAS. The supporting members are entitled to receive all the benefits offered to the full and honorary members and their representatives are entitled to participate in and to vote at the general meetings of the HAAS. |

III. Admission of Members | |||||||||||||||||||||||||||||
Applications should be forwarded to the secretary general who will then submit the list of applicants to the governing body (the Board). Admission is ultimately approved at the general meeting of the HAAS. Applicants rejected by the Board are entitled to appeal to the general membership. Honorary members are selected by the general membership following the submission of the list of the nominees by the Board to the Assemly. |

VI. The Rights and Duties of the Members | |||||||||||||||||||||||||||||
The members of the HAAS have the right to participate in the activities of the Association. Each full or honorary member has the right to vote at the sessions of the general meetings. Each full or honorary member has the right to enjoy all the benefits offered by HAAS. Each full and honorary member is to support the activities of the HAAS, to observe its rules and to abide by the decisions made by the Board. the members are to pay the membership dues by March 31 each year. |

V. Organization | |||||||||||||||||||||||||||||
A.) The General Meeting A general meeting is to be held at least every year. The date, the venue, and the agenda should be made known to the members at least 30 days before the opening session of the general meeting. The presiding officer shall be one of the co-chairpersons of the HAAS. Each member is entitled to participate in the meeting. An extraordinary meeting can be called into session upon the request of at least one-third of the members; or, if the Board deems it necessary. The officers of the HAAS are elected every two years. A simple majority of voting members present is required for making any decision. If there is a motion to modify the by-laws (regulations) of the HAAS, or to dissolve the organization, or to join it with other organizations, a two-thirds majority of the voting members present is required. If there is not a quorum, a second meeting will be called into session within 30 days with the same agenda. The members present at the second meeting shall have the right to make decisions on the same issues regardless of the number of the participants. Voting in the HAAS is a "one person - one vote" basis. Balloting shall usually be open, bu upon the request of at least one-third of the members present, a secret ballot will be held on any question. Minutes shall be kept of each of the general meetings; the minutes shall be certified by one of the two co-chairpersons, the keeper of the minutes and two other persons appointed by the members present at the general assembly. The certified minutes shall be kept permanently. |

B.) The Governing Body (The Board) The Board is to manage the affairs between the sessions of the general meetings. The members of the Executive Board are as follows: the co-chairpersons, the honorary co-chairpersons, and the secretary general of the HAAS. In the case of certain specific issues, up to three other members of theAssociation may be elected into the Board at the General Meeting. The officers are elected by secret ballot. The Board shall have the right: - to decde in questions which fall outside the authority of the general meeting; - to recommend at the general meeting the establishment of branch associations and study groups; - to prepare issues for the general meeting; - to approve the by-laws (regulations) of the local branches; - to initiate the publication of books, periodicals, etc. that promote American studies in Hungary.; - to organize the Hungaran and international conferences of the HAAS. A simple majority is required for making decisions at the Board meetings. The resolutions passed here may be challenged at the general meetings. It is the duty of the Board to manage the financial affairs of the HAAS and to give an account of its activities in this field from time to time to the general meeting. Minutes shall be kept at the Board meetings and three officers present are to certify it by signing the document. The co-chairpersons of the HAAS shall - represent the Association in general and have the right to acquire rights and and assume responsibilities on behalf of it; - supervise the financial affairs of the HAAS; signt the checks and other legal documents together with the secretary general; convene the general meetings, the Board meetings and the extraordinary meetings into session; - supervise the execution of the decisions made by the general membership or by the Board. The secretary general, who is the treasurer of the HAAS at the same time, shall - manage the financial affairs of the HAAS; - collect the membership dues and administer other resources; - report the financial dealings to the co-chairpersons at the Board meetings; - keep a record of the financial affairs of the HAAS and submit it tobe supervised on request by the Board or the general meeting. |

VI. The Termination of the Activities of the HAAS | |||||||||||||||||||||||||||||
The activities of the HAAS are terminated and the Association is dissolved if - a resolution to this effect is passed by a two-thirds majority at the general meeting - the Association merges into another one; - it is dissolved by a Court decision. In the case of the dissolution of the Association, the general membership shall decide the disposition of the funds of the HAAS. |
