.: I. NAME

The name of this organization will be Team RX-7 and will be incorporated for legal purposes as a non-profit hobby club.


.: II. PURPOSE

The purpose of this organization shall be to:

A. Provide a way for individuals having a common interest in the RX-7 specifically and rotaries in general to meet, exchange ideas and information and generate enthusiasm for all.

B. Serve as a repository and clearinghouse for all information relating to the Wenkel Rotary.

C. Provide a connection between buyers and sellers of both vehicles and accessories.

D. Serve as a liaison between owners and the Mazda Motor Corporation.

E. Promote safe and environmentally sound use of rotaries.

F. Serve as a governing body for its members.

G. Provide a structure for the development, support and connection among local chapters (if any).


.: III. GOVERNING BODY

A. The governing body shall consist of the Board of Directors, who shall have the general authority to conduct all activities, business and other pertinent matters that come before it.

B. The members of said board shall be the President ex officio, President, Vice-President, Secretary, Treasurer, Membership Chairperson, Webmaster, Products, Inspections, Recruitment, Events Coordinator, Audio, and Newsletter.

C. The Officers, excluding the Owner, shall serve for a tenure of 2 years, beginning on January, 1999, without any term limits assigned to these positions.

D. The remaining director members shall, to the extent possible, be drawn so that there is at least one director member from each of the local chapters. The remaining members will be drawn from the membership at large. Should the number of local chapters exceed the numbers of directors provided for in item B above, the size of the Board of Directors shall be expanded accordingly.

E. The Directors, excluding the Owner, shall be divided, as much as possible, into 3 equal classes having tenures of 2, 3 or 4 years each and be identified by class year beginning with the Classes of 2000, 2001 and 2002. Tenure will end on the last day of the calendar year identified.

F. The Directors shall have the power to fill from the membership any vacancies in unexpired terms as they occur.


.: IV. ELECTION OF OFFICERS AND DIRECTORS

A. All officers of the Club, excluding the Owner, will be elected by the Board of Directors. For purposes of this organization, the officers shall consist of the Vice-President, Secretary, Treasurer, Membership Chairperson, Webmaster, Products, Inspections, Recruitment, Events Coordinator, Audio, and Newsletter.

B. Board of Director members other than the officers will be elected by the general membership at the end of any calendar year in which a term of office ends.

C. Candidates for the office of Vice-president will be drawn from the members of the Board of Directors rather than the general membership.

D. Anyone deriving income, either directly or indirectly as a result of a Team RX-7 connection is prohibited from serving as an officer or board member while deriving said income.


.: V. DUTIES OF OFFICERS

A. Owner

The Owner will preside over any meetings conducted, manage the business of the club and carry out any and all duties deemed necessary by the Board of Directors.

In the middle of each calendar year, the Owner shall select one member of Team RX-7 and designate that person as the "Teamster Of The Year", cause a suitable plaque to be created to present to that person and cause an announcement of the selection to be hosted in the E-zine. The selection is to be based on a member's contributions to Team RX-7.

B. Vice-President

The Vice-President shall serve in the absence of the Owner and carry on any and all duties deemed necessary by said Board.

C. Treasurer

The treasurer shall receive, hold and maintain all funds generated by club activities, disburse said funds as directed by the officers, keep records of all income and expenses and submit a financial report to the Board at least twice a year at 6 month intervals. Board of Director approval is needed for any single expenditure exceeding $100 and the treasurer is authorized to expend any single amount below that sum without prior approval.

D. Secretary

The secretary shall record any and all decisions made by the Board, initiate and tally votes and submit reports on a timely basis at the direction of the Board.

E. Webmaster

The webmaster will be responsible for maintaining the website and soliciting articles and materials to be used on the site.

F. Membership Chairperson

The membership chairperson shall be responsible for sending out, receiving and processing all membership applications and forwarding checks received to the treasurer.

G. Events Coordinator

The Events Coordinator will initiate and/or support the development of events on a national scale and ensure that the event is in keeping with the goals of Team RX-7 and meets event criteria.

H. Products Chairperson

The Products Chairperson is responsible for maintaining close ties with negotiated businesses in relation to services and or parts received and performed for Team RX-7.

I. Inspections Chairperson

The Inspections Chairperson is responsible for maintaining current requirements for eligibility to membership, forming an Inspections team, and to update those requirements when necessary. The Inspections Chairperson will report directly to the Owner if a membership prospect has a louder turbo than said Owner.

J. Recruitment Chairperson

The Recruitment Chairperson shall be responsible for enrollment, including, flyer distribution, spread of word, business cards, and other methods. Said Recruitment Chairperson can form a Recruitment team if deamed necessary.

K. Audio Chairperson

The Audio Chairperson is responsible for maintaining close ties with negotiated businesses in relation to audio equipment, accessories, and installations. Said Chairperson MUST have full working knowledge of audio.

L. Newsletter Chairperson

The Newsletter Chairperson will be responsible for creating and maintaining Club Newsletter. Chairperson can form full working staff for Newsletter. Newsletter will be bi-monthly and mailed to each member, as well as an Internet version.


.: VI. MEMBERSHIP

A. Any person having an interest in or owning a Mazda Motor Corporation RX-7 or other rotary is eligible for membership.

B. A person will be considered a member in good standing provided that they have paid their annual dues and exhibit an absence of behavior that would reflect negatively on the club and/or its members or in any way detract from the club's intentions or activities. The Board reserves the right and has sole discretion to suspend a person's membership if his/her behavior is, in the Board's determination, detrimental to Team RX-7.

C. The dues structure will vary depending on conditions as they change.

D. No person shall be discriminated against for reasons of race, color, creed, nationality, religion or sexual orientation.


.: VII. PERSONAL LIABILITY

A. Team RX-7 WILL NOT be held liable for any damages, theft, defacement, or any other negative act upon members car whatsoever. Member will sign waiver of these rights upon Membership.

B. Any member holding an event or gathering supported by, sponsored by and/or advertised or announced by Team RX-7, shall REQUIRE participants in said event or gathering to sign a copy Team RX-7 waiver form that holds the officers, directors, event coordinators and members of Team RX-7 harmless in the event of any liability issue that might arise in association with said event. All such Waiver forms are to be submitted to Owners Residence for storage immediately following the conclusion of the event.


.: IX. ACCEPTABLE USE POLICY

A. Forum:

This Forum is a private site owned an operated by and for members of the Team RX-7 Club for their benefit. However, non-members are welcome to access and post to this site as well.

Participants in this Forum are solely responsible for the content and material that they post. Under NO circumstances may contributors post any material or content that is illegal, defamatory, misappropriated, obscene, pornographic, contaminated or intentionally harmful, abusive, offensive or otherwise unacceptable. Comments specifically designed to inflame, incite or demean others are further prohibited. Decisions by the officers and Board as to the language content of posts will be made in the context of the family nature of this Forum and any posting that demonstrates intent by the poster to violate the letter and spirit of the AUP will be subject to review and corrective action by the Board.

In addition, under NO circumstances may an individual or individual acting on behalf of a company post advertising or promotional materials designed to solicit business without the express, approved written consent of the Board of Directors of Team RX-7. However, Team RX-7 members, both individual and corporate, may arrange and/or post information about special purchases such as "group buys". Non members are invited to participate in such special purchases but may NOT arrange or post information about them. Any other posts of a commercial nature require the specific approval of the Team RX-7 Board of Directors.

While it is not the intent of Team RX-7 to discourage posters from sharing their personal opinions or limiting freedom of expression, Team RX-7 reserves the right to monitor all content and may, at its discretion, remove any content deemed to be in violation of the Acceptable Use Policy. If the Board deems a post unacceptable, a designated member of the Board will post a notice under the post in question that reads, "The Board is aware of this post and appropriate steps are being taken." In addition, the individual whose post is removed will receive an e-mail message, should their address be available, indicating what post was removed and the reasons for the removal. Should a poster persist in posting unacceptable content or material, Team RX-7 will, at its sole discretion, block the poster's access to the Forum site for as long a period of time as deemed appropriate.

It is sincerely hoped that individuals accessing the Forum will use it in the spirit intended.

B. Website:

Information will be added to the website at the discretion of the Board of Directors and be designed to inform and educate members about information relevant to their rotaries. Sites linked to and by Team RX-7 will also be approved by the Board of Directors and will maintain standards consistent with the purposes of Team RX-7. Such links will be kept on the website as long as they cause no harm or disadvantages to members, club reputation and/or public image.

C. Chapter Formation:

Team RX-7 encourages the formation of local chapters. Members who join such chapters are required to join Team RX-7. New chapters will be approved by the Board of Directors based on geographical distribution to avoid one chapter impinging on another chapter's area in order to avoid duplication of efforts. Should a chapter grow too large, a chapter has the option of splitting into two or more local chapters with the approval of the Board of Directors. In order for a chapter liaison to serve on the board, the chapter must be considered an ACTIVE chapter. An active chapter is defined as one which has developed a chapter website, updates it periodically and holds a minimum of one event per year and ONLY chapters classified as active are allowed to collect and raise funds for chapter activities.

D. Rendezvous, Rallies, Gatherings:

The use of alcoholic beverages, illegal drugs or the violation of any federal, state, city or local law or ordinance during the operation of a motor vehicle while participating in any event held by Team RX-7 is strictly prohibited. Violators of this policy will be subject to dismissal from Team RX-7.

GUIDELINES FOR RUNNING

Team RX-7 AND CHAPTERS

EVENTS

PURPOSE

The purpose of these guidelines is to ensure that any and all activities carried on by Team RX-7 members meet the high standards of Team RX-7 and conform to ethical operation with regard to the collection and disbursement of funds needed to carry on these activities. In order for Team RX-7 to sanction any event, it is expected that the organizers will adhere to these guidelines. In addition, in order for an event to be sanctioned by Team RX-7, all registered participants must fill out and submit a copy of the Waiver From at the time of registration. Those waiver Forms are to be forwarded to the Owners Residence; Lee Wrisley, 150 Windward Drive Barnegat, NJ 08005 and kept on file.

SAFETY

Any event should be organized such that the personal safety of participants is paramount. Activities should be conducted in such a way that no one is put in jeopardy of their personal safety and that of the vehicles involved. In the case of events where Drag Racing is included, the safety rules established by Team RX-7 and listed below should be followed.

NOTICE OF EVENTS

The organizers of any event shall provide timely information about the event as to it’s location, duration and any and all information needed by someone in order to determine their attendance. It should be clearly stated whether the event is being conducted by the National organization or whether it is a local chapter event along with who is eligible to attend. Non RX-7/Rotary owners can be invited to attend provided that an additional fee is added to the Registration Fees for non-members. Conversion of that Non RX-7/Rotary participant’s fee is to be converted into a one-year trial membership and the additional fee shall equal the cost of that one year trial membership. In the case where no registration fee is required of members, the fee for non-members still applies. ANY INDIVIDUAL NOT SHOWING THEIR CAR OR RACING CAN ATTEND!

ACTIVITIES

The activities for an event should be of sufficient variety as to appeal to a wide range of interests and include some activity specifically geared to children should they attend in sufficient numbers to warrant specific activities.

REGISTRATION FEES

Any and all registration fees should cover the expenses needed to operate the activity but NOT be used to raise funds for a chapter or Team RX-7. Should there be a surplus after all expenses are paid, that surplus is to be applied toward partially covering registration fees for the next event. Should the event be a local chapter event, any surplus shall be applied to the next event held by that chapter.

FUND RAISING AT AN EVENT

Team RX-7 or a local chapter can raise funds for their own needs beyond the cost of the event by way of raffle ticket sales for prizes or other means. Regardless of whether an event is nationally or locally conducted, any sales from the Team RX-7 Store will revert back to Team RX-7. To avoid potential conflicts of interest, Team RX-7 Officers, Board Members, members involved in organizing and running an event and their relatives are NOT eligible for prizes. Children under 16 of non-eligible members ARE eligible for childrens prizes.

COLLECTION AND DISBURSEMENT OF FUNDS

The chapter liaison is solely responsible for and accountable to Team RX-7 regarding the receipt, disbursal and handling of chapter funds. This includes, but is not limited to, the budgeting, accounting and reporting of such funds in a timely manner. The liaison has the option to designate an event specific treasurer solely at their discretion. Accountability for the assigned person’s actions however, remains solely with the liaison.

A full accounting of all funds collected and disbursed for any event shall be provided to the Treasurer of Team RX-7 within 10 business days of the conclusion of any event in which funds are collected. Said record shall be forwarded to the Owners Residence at 150 Windward Drive Barnegat, NJ 08005
