Below is a copy of the standard Editorial Services Agreement that I send to all my clients. It is, in most cases, customizable. (If you'd like to add something to the confidentiality clause, for example, I'll probably be willing to oblige you.) DO NOT PRINT! This agreement is intended only as an example. It has not been formatted here for printing; light-colored text on a dark background relieves eye strain, but does not print well. This agreement is between JENNIFER KENNEDY ("Editor") and _____________________________________________ ("Client") and concerns the following manuscript: ___________________________________________________________________ ("Project"). Author(s): Working Title: Description of Project: 1. EXCLUSIVITY The Client agrees that the Editor is the sole editor for the above-named Project during the agreed-upon period specified in Section 5 of this agreement. 2. EDITORIAL TASKS The Editor is being asked to, and agrees to, do the following (check all that apply): [] Copy Editing Editing for grammar, usage, spelling, punctuation, and other mechanics; also checking for consistency of facts. Does not include stylistic or structural editing, fact checking, inserting headings or subheads, or suggesting approximate placement of artowork or tables. [] Stylistic Editing Clarifying meaning, eliminating jargon, polishing language, and other non-mechanical line-by-line editing. Does not include checking or correcting reading level, or creating or recasting tables or figures. [] Substantive/Structural/Developmental Editing Looking at both the content and structure of a manuscript as a cohesive whole. Clarifying or reorganizing a manuscript for content and structure. Does not include researching or writing original material. [] Rewriting Creating a limited amount of new material to be included as part of the manuscript on the basis of content and research supplied by the Client. The Client agrees to name the Editor as a contributor. [] Project Editing Coordinating and editing a project from rough draft to final manuscript, incorporating input from author(s), consultants, and/or reviewers. 3. EDITING METHOD The Editor agrees to perform the work in the following manner (check all that apply): [] Changes will be suggested to the Client, and the Client will be free to choose whether to incorporate any or all of the recommended changes. [] Changes will be incorporated directly into the electronic manuscript. The Editor agrees to consult with the Client before making changes that could, in the Editor's opinion, affect the meaning or intent of the material. The Editor may decide to provide additional notes to explain particular changes. 4. PAYMENT Applicable to all payment options listed below: if, after commencing the work, the Editor deems that the Project will require substantially more time than estimated, the Editor will inform the Client immediately. The Client may choose whether to accept and pay for the editing that has been done to that point, or to make additional payment for completion of the Project. Check all that apply: [] In Advance The agreed-upon flat fee of $_________, based on number of words at the rate of $_0.03_ per word, is to be paid in full via ________________ (money order, personal check, or PayPal) by the Client to the Editor before or concurrent with manuscript transferral. [] In Installments The agreed-upon flat fee of $_________, based on number of words at the rate of $_0.03_ per word, is to be paid via ________________ (money order, personal check, or PayPal) by the Client to the Editor on at least a ___________________ (weekly, biweekly, monthly, bimonthly, or other) schedule, beginning _________________ (date). The agreed-upon schedule is $________________/________________ for _______________________ (weeks, months, or other), due ___________________________________. Payments may be submitted more frequently and/or in larger amounts. Any payment made after the final due date is subject to 1% interest per month (12% per annum).The edited manuscript will not be returned until all fees are paid in full. [] Upon Completion The Editor will bill the Client for all services rendered, at the rate of $_0.03_ per word, and for all associated costs. The Client agrees to submit payment via ________________________ (money order, personal check, or PayPal). Full payment of fees will be made within _14_ days of invoice. Any payment made after the due date is subject to 1% interest per month (12% per annum). The edited manuscript will not be delivered until all fees, including interest (if applicable), are paid in full. 5. DELIVERY The Client will deliver the original manuscript to the Editor on or before __________________________________ (date) by means of ___________________________________ (standard first-class mail, priority mail, overnight mail, email, or other) in the following format: ________________________________ (hard copy, electronic file, or other). The Editor will return the edited manuscript to the Client on or before _________________________________ (date) by means of ___________________________________ (standard first-class mail, priority mail, overnight mail, email, or other) in the following format: ________________________________ (hard copy, electronic file, or other). As Section 4 of this agreement stipulates, the Client agrees to reimburse 100% of the Editor's postage and/or shipping costs. 6. CONTACT Should any situation arise in which either party feels the other should be notified and/or questioned, all parties agree to abide by the following agreed-upon contact preferences (check all that apply): [] By Fax The Client and Editor agree to provide each other with home fax numbers, including online fax-to-email and/or email-to-fax programs (such as eFax). As Section 4 of this agreement stipulates, the Client agrees to reimburse 100% of the Editor's fax (sending and receiving) expenses. [] By Email The Client agrees to provide the Editor with at least one email address, which the Client must check frequently. [] By Instant Messaging Program The Client agrees to notify the Editor of a preferred program (such as Yahoo! Messenger) and pertinent contact information, such as username or ID number. As Section 4 of this agreement stipulates, the Client further agrees to reimburse 100% of the Editor's related expenses, such as program purchase and/or download fees (if applicable). [] By Mail The Client and Editor agree to provide each other with accurate mailing addresses. As Section 4 of this agreement stipulates, the Client agrees to reimburse 100% of the Editor's applicable postage and/or shipping expenses. [] Not At All The Client prefers not to be contacted by the Editor at all during the proofreading and editing process (except during negotiation and Project transferral), with the understanding that the Editor will consequently make independent choices regarding the Project, and that the quality of the final product may be lower than the quality of a Project on which the Client communicates with the Editor. 7. COPYRIGHT AND NON-DISCLOSURE The Editor agrees to maintain confidentiality indefinitely: the Editor will not discuss the details of the Client's work with any uninvolved parties, even after said work has been published, unless the Client gives express written permission. The Editor also agrees that the Client retains all rights to the edited material(s). 8. TERMINATION Either party may terminate this agreement in the event of material change of circumstance with _14_ days' notice sent in writing to the other party. The Client agrees to pay the Editor for work done up to the date of termination. 9. INDEMNITY Editing is intrinsically a process of correcting mechanical errors and offering advice and suggestions for improvement to the Client. While the Editor will make every effort to bring questionable material to the attention of the Client (in accord with the Client's contact preferences), the Client agrees to indemnify and save harmless the Editor from any and all claims or demands, including reasonable attorney fees, arising out of any alleged libel or copyright infringement committed by the Client in creating the work. 10. APPLICABLE LAWS The terms of this agreement shall be interpreted according to the laws of the Commonwealth of Kentucky, including conflict law provisions. 11. AMENDMENTS This agreement may be amended only in writing signed by both parties.
