BY-LAWS
ARTICLE
I – Organizations and Location
This
organization shall be known as The Western Hills High School Athletic
Boosters, a non-profit association chartered under the laws of the State
of Ohio and located in the
City of Cincinnati, Ohio (zip code 45238). The Organization acknowledges
the use of the short form, West-Hi Athletic Boosters (WHAB), as it’s proper
abbreviation and logo.
ARTICLE
II – Purpose
The
WHAB shall support and foster the development of sports programs and activities
as appropriate to complement and/or supplement such activities on behalf
of the student body of Western Hills High School: toward this end, to
promote good conduct and morals, safety, sportsmanship, and general welfare
for the social betterment of the youth and athletes, said programs and
activities to be determined by the Board of Trustees.
ARTICLE
III – Board of Trustees
Section
1. The WHAB shall be governed by a Board
of Trustees. The High School Principal and the Athletic Director shall
be standing members of the Board of Trustees.
Section
2 In April, the President shall
appoint a committee responsible for presenting during the Board’s May
meeting, candidates to serve on the Board of Trustees.
Section
3. Vacancies
occurring on the Board of Trustees shall be filled by appointment at the
discretion of the Board of Trustees.
Section
4. The President shall assure that each
new Trustee receives a copy of these by-laws and the current Board Membership
Roster.
ARTICLE
IV – Meetings and Quorums
Section
1. Regular meetings of the Board of trustees
shall be held monthly, on the first Monday of each month at Western
Hills High School
beginning at 7:00 p.m., unless
changed by the President or the majority of the Board of Trustees by appropriate
advanced notice to the Board Members.
Section
2. Special meetings of the Board of Trustees
may be called by the President, or by a majority of the Board of Trustees
by notification to the President, when deemed necessary to properly conduct
the affairs of the WHAB.
Section
3. The presence of not less than eight
members shall constitute a quorum at all meetings of the Board of Trustees.
Simple majority quorum-vote shall rule.
ARTICLE
V – Officers and Duties
The
officers of WHAB shall be a president, vice-president, recording secretary,
corresponding secretary, and treasurer, each elected bi-annually at a
regular or special meeting, immediately following the Trustees meeting
in May, from among the Trustees by the Board of Trustees. Any vacated
officer position shall be filled by the Board of Trustees for the duration
of the unexpired term. The President may appoint a nominating committee
to present a slate of possible candidates for any such vacancies.
Section
1. The President shall preside at all
meetings of the WHAB and assume primary responsibility for properly representing
the WHAB and for effecting the policy direction as resolved and prescribed
by the Board of Trustees.
Section
2. The Vice-President shall perform those
duties of the President during the President’s absence or inability to
serve.
Section
3. The Recording Secretary shall prepare
minutes of all meetings and maintain all official records of the Board
of Trustees and the WHAB, excluding those specifically assigned to the
Treasurer; and the Corresponding Secretary shall perform those duties
of the Recording Secretary in the latter’s absence or inability to serve.
Section
4. The Corresponding Secretary shall attend
to all correspondence assigned by the President and the Board; and the
Recording Secretary shall perform the duties of the Corresponding Secretary
in the latter’s absence or inability to serve.
Section
5. The Treasurer shall collect all monies
due the WHAB; deposit these funds in a bank account, subject to the approval
of the Board of trustees; draw vouchers on accounts duly approved by the
Board of Trustees; and submit a status-of-funds report at all meetings,
or upon request, of the Board of Trustees. All checks of the WHAB shall
be drawn on the signature of one of two officers designated by the Board
of Trustees, one of whom shall be the Treasurer. The Treasurer shall be
bonded in an amount sufficient to cover the cost of his entrusted financial
liability to the WHAB, the cost of said bond to be borne by the WHAB.
The President shall appoint an audit committee from among the Trustees
to conduct an annual review and audit of the Treasurer’s accounts and
status-of-funds reports. The audit shall be performed in May of each year.
ARTICLE
VI – Booster Membership
Any
person who is interested in promoting the purpose of the WHAB may become
a Booster member by payment of a nominal annual fee to the WHAB.
ARTICLE
VII – Amendments
These
By-Laws and any amendments thereto may be repealed, modified, or changed
by a two-thirds vote by the Board of trustees in favor of such amendments
by presenting and changes or appeals in writing at a regular meeting and
voting on the changes at the following regular meeting.
ARTICLE
VIII – Dissolution Clause
Upon
dissolution of the WHAB, its assets, if any, shall first be used to discharge
any and all of its legitimate indebtedness, and the balance remaining,
if any, shall be distributed at the discretion of the Board of Trustees
to the benefit of Western Hills High School for a purpose or purposes
as closely related as possible to that stated in Article II, herein.
ARTICLE
IX – Committees and Duties
Section
1. - Sports Program Committee. This
committee shall consist of the entire Board, headed by a Committee Chair
appointed by the President. The Committee Chair shall appoint two co-chairs,
one in charge of ad sales; the other in charge of program sales. This
committee shall be responsible for the overall coordination of efforts
for timely publication and distribution of the annual West Hi Sports Program.
Section
2. – Booster Membership Committee. The committee Chair shall
be appointed by the President. This committee shall be responsible for
developing and effecting resourceful methods and procedures for recruiting
and maintaining a full and active and supportive membership in the WHAB.
Section
3. – All-Sports Picnic Committee. The committee Chair shall
be appointed by the President. This committee shall be responsible for
assisting the Athletic Director and respective coaches in coordinating
and supporting the Fall, Winter, and Spring Sports Awards and Recognition
Banquets during each school year.
Section
4. – Hall of Honors Committee. The committee Chair shall be
appointed by the President. This committee shall be responsible for recommending
nominees of past West Hi graduates for consideration of induction of the
West-Hi-Hall-of-Honors consistent with published criteria for such induction
as adopted by the WHAB.
Section
5. – Audit Committee. The committee Chair shall be appointed
by the President. The responsibility of this committee shall be to perform
an annual examination of the financial records and accounts of the WHAB
and to issue a written report of such audit to the WHAB for adoption.
The report shall become a permanent record of the WHAB.
Section
6. – Budget Committee. A Chair shall be appointed by the President.
This committee shall be responsible for preparation and submission to
the WHAB for adoption a projected budget at the beginning of the WHAB
activities year.
Section
7. – General Fund Raising Committee. A Chair shall be appointed
by the President. This committee shall be responsible for assessing all
fund raising efforts and endeavors of the WHAB, recommending their continuance
or abandonment, and proposing new and innovative fund raising ideas to
the WHAB from time to time for consideration and disposition.
ARTICLE
X – Order of Business
WHAB
business shall be conducted in accordance with Robert’s Rules of Order.
