議約權後，擁有新 台幣五百億元商機的「中正機場至台北」
捷運工程ＢＯＴ投資案，已成各方矚 目的焦點；交通部長蔡
兆陽昨日指出，也希望有意參與投標的廠商提供更多、 更
有利的條件，交通部將以對政府「最有利的價格及技術」，
甄選出優先議約 權的廠商。
由於台灣高鐵聯盟提出對政府最有利的價格，日前取得與
交通部優先議約權 ，因此，即將在明年四月二十一日開標的
中正機場捷運開發案，一般預料也將 以「最有利價格標」決
定廠商；不過，蔡兆陽昨日已特別加上「最有利的技術 」，
避免以唯一的價格高低取勝，引起不必要的爭議。
在蔡兆陽的心目中，並不以此次高鐵的有利條件為滿足，
昨日特別強調，希 望廠商提供「更多」有利政府的條件，也
就是期望廠商提出的ＢＯＴ條件，較 高鐵案有過之而無不
及。這個政策風向值得即將在十一月二十一日送件的五家 投
資團隊 參考。
交通部也即將為中正機場捷運暖身，將在十月四日舉辦首
場說明會，重點包 括廠商極為關心的路線及土地徵收問題，
目前此案由廠商自行規劃路線及自辦 徵收土地，交通部勢將
整合廠商意見，訂定標準，並提出如何協助廠商的方案 。
目前經交通部初審合格的五組團隊，其中以大陸工程與中
華開發再度對壘最 受矚目，將使高鐵的戰火蔓延；大陸工程
、太平洋建設等計畫採用德國西門子 設備，組成「聯捷交通
公司」；中華開發則與長億實業、中央投資等共組「長 生國
際公司」；另中華開發也參與中華工程、榮工處等組成的
「中華工程」團 隊；中華開發已取得五分之二出線的機會，
機率較大陸工程略勝一籌。
另外兩個團隊為「上慶捷運」包括國泰建設、中日飼料
等；「台聯捷運」有 擎碧建設及元保實業等

關係台灣跨世紀發展的高速鐵路，即將由民間廠商投資興
建，並在營運三十 年後移轉給政府。理論上，此一ＢＯＴ形
式的簡單概念，就是政府少出錢，減 輕了財政負擔，卻能引
進民間經營效率投入公共建設，進而提升國家整體競爭 力，
使得國家發展不因財務困窘而有所停滯。
但是，類似高鐵案的重大公共建設，成本高昂、工期漫
長，且工程內容複雜 ，其營運又必須兼顧公共利益，政府的
角色絕非一般的民間投資案可以比擬。 以催生高鐵民間投資
案的「獎勵民間參與交通建設條例」八十三年在立法院倉 卒
通過時，各界對於公共資源可能因而被合法掠奪的憂心警
語，正凸顯政府在 高鐵案中不能不扮演的角色，絕不是讓民
間廠商在高鐵案中自負盈虧、「政府 不用出一毛錢」就一筆
帶過。
政府要在高鐵案中創造利於民間業者的投資環境，進而獲
得利於全民公共建 設品質的「雙贏」局面，確實有著艱鉅的
挑戰。ＢＯＴ形式中，政府和民間投 資者像是合作夥伴，但
以商戰的眼光來看，在陌生的操作過程當中，政府更像 是全
民和財團談判周旋的代表，如何共同分擔風險，將考驗政府
的智慧。
在高鐵ＢＯＴ案中，政府的工作可以簡單劃分為：管控投
資廠商在興建期的 財務可行性和工程品質、確保高鐵如期通
車後的安全性及民間高鐵公司提供一 定服務水準的保証。目
前政府所能依據監督管理的法令主要還是獎參條例的有 關規
定，另外還將參考鐵路法、公路法、大眾捷運法等，相關的
權利義務都將 載明在合約中。
在ＢＯＴ的特色中，除了政府以外，融資給高鐵特許公司
的銀行團，也將扮 演重要的監督管理角色，形成高鐵民間投
資者、銀行、政府三者共同分擔風險 的平衡局面。專業銀行
應對特許公司的經營實況，進行會計稽核監理，也能確 保特
許公司在營運三十年後轉給政府的資產，透明公開。
簡單說，這樣複雜且環環相扣的ＢＯＴ過程，對於政府部
門的系統整合能力 ，將是重大考驗。但是，以目前正在議約
當中的高鐵案看來，政府的效率遠落 後於民間企業，居於談
判弱勢，能否有效扮演監督管理角色，令人擔憂。高鐵 局迄
今未能對於 最優議約廠商得標的高鐵總建設經費做出一致的
解讀，就是明 顯的 例子。
這項總建設經費數字牽涉台灣高鐵投資計畫的財務可行
性，也將載入合約， 作為議約過程中雙方權利義務的談判基
礎。出現解讀爭議，暴露出高鐵局當初 訂定遊戲規則的粗糙
程度。
台灣高鐵出人意表地要求政府投資額度為零，卻以負數表
達，政府只獲得帳 面上短時間的勝利，卻形同政府以編列預
算無償補貼利息借給台灣高鐵，怎麼 看都是一筆虧本生意，
實在是最大的尷尬。
另外一個值得憂心的問題是高鐵投資案所在的國內金融環
境，能否支撐高鐵 案 的金融風險。以高鐵的鉅額投資，本
來應該引進大量外國銀行的融資，但迄 今為止，除了機電系
統的五百至七百億資金將由外國輸出入銀行辦理融資外， 台
灣高鐵成員之一、富邦保險公司董事長蔡明忠明確表示，台
灣高鐵聯盟的融 資將以國內交通銀行為主。交通銀行的後台
老闆其實就是政府，它能否以專業 立場考量風險，實際進行
財務稽核，還是會將風險轉嫁給政府，端看政府的金 融政
策。政府會否在高鐵案中獨自承擔了過多風險，將是未來高
鐵品質的保証 。
