Preheat oven to 350 degrees.
Mix together brown sugar, cocoa, and water. pour into greased 9x13 inch pan. Sprinkle with mini marshmallows. Prepare cake mix as directed. Pour over mix in pan and sprinkle with nuts.
Bake 45 minutes or until center is set.
Serve topped with whipped cream.
