of collaboration in education of foreign students

We, the Institute of Continuing Education of the Republic of Moldova, Address: 139, Decebal Avenue, 2066, Chisinau, the Republic of Moldova, the currency account Nr.222490100002409/840 BCA "F1NCOMBANC", MFC) 280101735, fiscal code 515435, further named "INSTITUTE" in the person of Mr. Rector Simion Caisin on one side, and the Firm MEDCOMISR Company S,R.L._, certificate of registration Nr. 0014557, fiscal code 34549019, account Nr.22248004983872 in Bank "Mobias Banca", named further the "FIRM" in the person of Mr. Essam Hamdy on the other side, signed the present Contract as follows:
Article 1. The Subject of the Contract
The subject of the Contract is the collaboration in selection, enrollment and education at the Institute of citizens from Egypt and other Arab countries.
Article 2. The Obligations of Institute
The Institute is obliged:
2.1. To conclude a contract of the established sample with each candidate for education at the preparatory department, students' faculties, postgraduate studies.
2.2. To ensure, according to the stufent choice, education in the English language during the process of the education.
2.3. To ensure teaching the Romanian (Russian) language and the general knowledge at the preparatory department with later education in Romanian (Russian) language at the faculties and postgraduate specialties according to the Institute educational curricula and programs.
2.4. To ensure the post university training in Romanian (Russian) and some specialties in English languages.
2.5. At the graduation from the Institute the student will receive the Diploma in Romanian and English confirming a certain specialty and the student's specialized training in it.
2.6. The Institute will provide help to find a hostel room to the student for the whole period of study, furnished with necessary things and having public utilities.
2.7. The student is granted the right of using the reading rooms, the library, the sports and cultural centers of the Institute.
2.8. For an extra payment by the student, the Institute will render help during the period of study to receive the entry-exit visas at the Police Visa Department in the Republic of Moldova.
2.9. To participate at the meeting of students at the Airport from Chisinau by an Institute Representative with interpreter.
2.10. To ensure transport for the students from the airport to the students' residence.
2.11. To send to the Firm in established terms the application forms, invitation for study and grant admission for every student.
2.12. To indicate the deadline of admission for study of new students (at the beginning of the new academic year) and to send the list of students to the airport general security for granting them the visa for entrance in Moldova. To send the same copy of the list to the Finn.
2.13. To provide the Firm with necessary materials for advertising and explaining the rules of enrolling and education at the Institute.
2.14. To provide the Firm with materials concerning the education results of the citizens of Egypt and other Arab countries for informing the parents afterwards.
Article 3. The Obligations of Firm
The Firm is obliged:
3.1. To carry out a publicity campaign in order to attract citizens from Egypt and other Arab countries to study at the Institute.
3.2. To give the candidates detailed information concerning their rights, obligations and the contents of the contract between the Institute and each candidate.
3.3. To assure that each candidate which comes to study at the Institute has the following documents:
student's applications are addressed to the rector of the Institute;
- the original Secondary School Certificate and its notarized copy in the Romanian or English languages with the studied subjects enumerated and with the marks of the subjects written in the Certificate; the marks of the principal subjects will not be lower than the average level, conventional for the student's country citizenship;
- the medical certificate, notifying the absence of any contraindications of the student to study in the Republic of Moldova;
- the birth certificate;
- the certificate of preparatory year graduation (if applicable); 10 photos of 4x6 cm (without lustre).
3.4. To ensure the transit visa for candidates enrolled to study (if necessary).
3.5. To inform beforehand about the time of arriving, the number of the route and the names of the candidates, coming to study.
3.6. To inform the students' parents (relatives) from Egypt and other countries about their activity according to the Contract concluded with the Institute.
3.7. To inform the citizens invited to study about the compulsory declaration of the currency at the Customs of the Republic of Moldova with the subsequent presentation of the declaration at the Bank for payment of the tuition fee.
Article 4. The conditions of payment
4.1. The ways and conditions of payment will be stipulated in an additional contract for every year of studies. The additional contract to be concluded for every new year of studies is an indispensable part of the actual contract.
Article 5. The Institute's rights
5.1. The Institute has the right to expel the student and the sum of the tuition fee is not
refundable in cases of:
a) poor academic progress;
b) missing over 10 days of the term without valid excuse;
c) Violation of laws of the Republic of Moldova, the foreign student studies Regulation, the Institute Regulation;
d) non performing of the present Contract conditions;
e) refuse of study by student's own wish;
f) non-payment for studies in accordance with the present contract;
5.2. The Institute has the right to prolong the period of study of the student or to allow the student to study the same term schedule twice (no more than 2 times for the whole the period of study) will be considered by both Parties in every definite case with regard to the compensation of the Institute's expenditures.
Article 6. Major Force Circumstances.
6.1. The Parties will be free from performing the obligation under the present Contract partially or completely if their non performing to fulfill the Contract's commitments is caused by the force - major circumstances as the result of the extraordinary event that could be neither predicted nor prevented by the Parties by any possible means.
6.2. The Party referring to the force - major circumstances will inform the other Party about it in written form enclosing a special document carried out by the Chamber of Commerce or by any similar state establishment of its country. The above-mentioned special document will contain the information about the character of the event and its influence on the Parties incapacity to perform the obligations under the present Contract.
6.3. In case the above said force major circumstances cease, the Party that referred to it and thus suspended its contractual obligations will have to inform in written form the other Party immediately about the possibility to resume the fulfillment of the present Contract obligations.
Article 7. Claims. Arbitration.
7.1. The Parties will have the right to cancel the present Contract when having the following reasons:
- if in spite of the written warning one of the Parties violates the important points of the present Contract, that leads to the financial loss of the other Party;
- if there exist the conditions of the force-major circumstances mentioned in Article 6 of the present Contract;
7.2. In case one of the Parties makes a decision to annul the present Contract, it will immediately inform the other Party about it. The important messages will be considered by the Parties as delivered if they are sent by registered mail to one of the given addresses with the simultaneous connection on telephone.
7.3. Before canceling the present Contract both Parties will immediately begin negotiations and will reach the agreement about the way to stop the mutual obligations and to settle the mutual accounts.
7.4. The Parties are responsible for non-fulfillment or neglecting their obligations under the present Contract.
7.5. When having arguments and controversies about the subject of the Contract or other problems related to it, the Parties will take all possible measures to solve the problems by negotiations. If the Parties do not reach the agreement about their arguments and controversies, they will appeal to the Economical Court of the Republic of Moldova.
7.6. The present contract is under the laws of the Republic of Moldova.
Article 8. Other Stipulations.
8.1. The present Contract conies into action beginning from the date when it was signed and it will be valid till July 1, 2007.
8.2. The Finn and Institute will respect the student's right to transfer and continue their studies via individual contract in the established way ( agreed by both Parties).
8.3. The Institute will not support any traveling expenditures of the student to his country and back, as well as student's personal traveling on the territory of the Republic of Moldova and other countries.

8.4. The Institute doesn't assume any obligations concerning the trip of the student's family to the Republic of Moldova and no living accommodations are offered for this reason.
8.5. In case of student's illness both parts will negotiate his staying at the Institute.
8.6. The assurance of the treatment of students in case of emergency medical states for FIRM'S students for the whole period of studies will be done according to the Health Ministry Regulations of the Republic of Moldova.
8.7. All alterations and additions of the present Contract will be valid only if they are made in written form and signed by both Parties as the Supplement to the present Contract.
8.8. Enrollment of the citizens for the next years of studies is done according to an additional Agreement, which is a component part of the present Contract.
