Teemz Licence Agreement
Please read this document carefully before installing the Teemz software. Your
downloading and/or installation of this software indicates your acceptance of
this licence agreement and the software warranty.
DEFINITIONS
Teemz Software - All files included within the downloadable distribution of
the Teemz software and all files used in and produced by the installation
scripts, including all program and documentation files.
Elated - Elated Communications Ltd, of Reading, Berkshire, UK, the sole owner
of the copyright and all other rights in and to the Teemz Software.
Licencee - The person who has downloaded or received the Teemz Software.
EXTENT OF LICENCE
One licenced copy of the Teemz Software may reside on one web server, and may
be used by one web site. One licence is required for each installed instance
of the software.
MODIFICATION OF SOFTWARE
Direct modification by the Licencee of any part of the Teemz Software, which
includes the Perl code, the HTML templates and the data files, is not
recommended. Elated accepts no responsibility for any loss or damage incurred
through the modification of the Teemz Software by the Licencee.
COPYRIGHT NOTICES AND LINKS
Copyright notices and links to pages on www.teemz.com included within the CGI
scripts, source files, data files and HTML template files of the Teemz
Software may never be modified, appended, or removed without the prior
expressed written consent of Elated.
The Licencee is not permitted to modify, append, or remove any copyright
notices or credits appearing within the visual interface of the Teemz
Software. This includes, but is not limited to, copyright notices on
documentation pages, the "Help" link on any board page, the "Administrator's
Manual" link on the administration pages, and the "Powered By Teemz" link on
the board home page. Removing links to such copyright notices and credits is
also prohibited.
REDISTRIBUTION OF SOFTWARE
Distributing the Teemz Software, or any portion thereof, in any form, under
any name, on its own or with other products (commercial or otherwise), without
the prior written permission of Elated is forbidden. All rights to the Teemz
Software and documentation not expressly granted under this Agreement are
reserved to Elated.
Downloading or redistribution of any portion of the Teemz web site,
www.teemz.com, including the manual and help system, without the prior written
permission of Elated is forbidden.
The Licencee may not sell, rent, or lease the Teemz Software to any individual
or organization.
The Licencee may retain one copy of the Teemz Software distribution for
archival purposes, provided that this archive is not redistributed in any way.
The Licencee must take reasonable steps to ensure that no part of the Teemz
Software is transferred to a third party, unless that third party has
expressly consented to be bound by the terms of this licence.
SOFTWARE WARRANTY
The Teemz Software is provided "as is" and without any warranties as to
performance or merchantability, or any other warranties, whether expressed or
implied. The Licencee accepts the Teemz Software "with all faults".
Because of the wide variety of web server environments in which the Teemz
Software may be used, no warranty of fitness for a particular purpose is made.
The Licencee assumes the entire risk of installing and using this software.
Under no circumstances shall Elated be required or obliged to provide any
support or assistance to the Licencee with respect to the Teemz Software.
Under no circumstances shall Elated be liable for any incidental, special or
consequential damages or loss, including, without limitation, lost profits or
the malfunction of equipment, personal injury, death, loss of data or
interruption of business, whether such damages are based upon a breach of
contract, negligence, strict tort, or any other legal theory, even if Elated
is made aware of the possibility of such damages.
The Teemz Software is not fault-tolerant and is not designed for use in high-
risk activities in any environment where the Teemz Software could lead to
injury or death. Elated specifically disclaims any warranties, express or
implied, of fitness for any high-risk activity.
Under no circumstances shall Elated be liable for any conduct associated with
the usage of the Teemz Software, nor for any messages posted using the Teemz
Software, or for any other content present on the web site where the Teemz
Software is installed.
TERMINATION OF AGREEMENT
Elated may, at any time, terminate the License Agreement if it determines that
any part of the License Agreement has been breached by the Licencee or any
other person. Upon termination, the Licencee must immediately delete and
destroy all files in their possession or on their web site that constitute the
Teemz Software, as well as all files produced by the Teemz Software.
In no case shall Elated be responsible for paying any money to the Licencee or
anyone else, even if the termination of the license reduces or eliminates
revenue raised by installing or using the Teemz Software.
JURISDICTION
This Agreement shall be governed by and construed in all respects in
accordance with English Law and the parties submit to the exclusive
jurisdiction of the courts of England and Wales.
