By-Laws of the Grover Beach Police Association

 

Article I

This Association shall be known as the "Grover Beach Police Officers Association" a non-profit organization.

Article II

Statement of Purpose

The objective and purpose of this Association shall be to assist in promoting the professionalism of the police service; to represent the regular members of the Association in all matters of wages, hours and conditions of employment; to encourage among all members a closer personal acquaintance and a friendly spirit of mutual cooperation; encourage, contribute to, and promote the highest degree of efficiency possible in the duties of the profession among the members of the Association; to encourage, contribute to, and promote the good citizenship of the youth in the community; to assist the elderly and needy in the community when possible; to assist whenever possible in all matters pertaining to the welfare and advancement of all members of the Association and to promote more efficient police service to the community of Grover Beach. 

Article III

Anti-Discrimination Statement

The Grover Beach Police Officers' Association will not restrict membership in the Association based upon race, color, creed, sex, national origin, age or physical disability.

Article IV

Membership

1. Regular Membership-Every full time, sworn police officer and every full-time non-sworn employee of the Grover Beach Police Department, from the rank of sergeant and below, shall be eligible for membership.

2. Associate Membership-Every part-time, non-sworn employee of the Grover Beach Police Department shall be eligible for membership as an associate member of this Association. Associate members of this Association shall have only the social privileges of the Association and shall be eligible to have the Association handle their dues for membership with the Peace Officers' Research Association of California (PORAC) and the PORAC Legal Defense Fund.

Article V

Dues

1. Regular Membership-The dues of this Association shall be thirty dollars ($30.00) per month for each regular member and shall be deducted bi-monthly from payroll checks. Four dollars ($4.00) per month shall be applied to dues in the Peace Officers' Research Association of California (PORAC); ten dollars and fifty cents ($10.50) per month shall be applied to dues in the PORAC Legal Defense Fund; and the remaining fifteen dollars and fifty cents ($15.50) shall be applied as dues to this Association. The amount allocated for membership in PORAC and the Legal Defense Fund is at the current billed rate. The reallocation of funds must be approved by each individual member.

2. Associate Member-The dues for associate members shall be twenty dollars ($20.00) per month and shall be deducted bi-monthly from payroll checks. Associate membership dues may be adjusted by a 2/3 vote of members present. 

3. Honorary Membership

    a) Every full time, sworn management employee, which includes the rank of lieutenant and above, of the Grover Beach Police Department shall be eligible for membership; to be admitted into this Association as an honorary member by a 2/3 vote of members present. Honorary members shall have only the social privileges of the Association, and shall be eligible to have the Association handle their dues for membership with the Peace Officers' Research Association of California (PORAC) and the PORAC Legal Defense Fund. 

    b) Every member of the Grover Beach Police Department who is retired shall automatically become a honorary member of this Association. Retired members shall have only the social privileges and shall not be required to pay dues. 

Article VI

Voting Rights

1. All voting members of this Association shall be entitled to attend all regular and special meetings and shall be allowed to speak or vote on any motion brought before the membership.

2. All motions to be voted upon by the voting members may be by secret ballot upon the request of any voting member.

Article VII

Officers

1. The executive and administrative power of the Association shall be vested in a Board of Directors, which shall consist of a President, Vice President, Secretary and Treasurer. The President, Vice President, Secretary and Treasurer will be elected at the annual meeting. 

2. The Board of Directors shall perform the duties prescribed by the By-Laws adopted by the Association.

3. The Board of Directors shall meet at least once every three months for the purpose of administering the affairs of the Association. The minutes of this meeting will be posted by the Secretary. This meeting shall be called by the President. Times and locations of meeting shall be posted a minimum of seven days prior to the meeting and shall be open to general members. 

4. The Board of Directors shall represent the Association and shall report all business conducted to the Association at the next scheduled meeting. 

5. Special meetings of the Board of Directors may be called by the President of a majority of the board members to deal with emergency situations, and minutes of special meetings will be posted not more that seven days after said meeting.

6. Any vacancies that occur during the term of a member of the Board of Directors shall be filled from the general membership by a majority vote of the members present or casting votes, with the exception of those vacancies caused by expiration of office.

7. Obligations may be incurred and disbursements made with the approval of board of by a 1/2 majority of he voting members, and an accounting made to the Association members at the next regular scheduled meeting.

8. The Board of Directors may incur obligations and make disbursements normally required for Association business. They may also disburse funds up to $300.00 per item fro a single event or request, up to a maximum of $600.00 per year. Any request for more that $600.00 will be voted upon in accordance with Article IX.4.

9. The board shall be elected at the annual meeting held in January of each year. 

10. The board shall take office the first of February and shall hold office for one year.

11. Election of officers shall be by a majority of voting members of the Association, and there must be at least 2/3 of the members casting votes.

12. Nominations for officers shall be made by any member (in accordance with IV.1.2) of the Association. The person being nominated shall be aware of and agree with his/her nomination.

Article VIII

President

1. It shall be the duty of the President to preside at all meetings of the Association and to call to order all meeting.

2. To call special meetings whenever he/she or any committee or group of five of more members deem it necessary. 

3. To appoint all committees or replace any committee member's). 

4. To sign and execute all contracts in the name of the Association when authorized to do so by the members. 

5. To countersign checks drawn on the Association account.

6. The President shall see that no funds over three hundred dollars ($300.00) are spend unless spending of said funds have been approved by a majority vote of regular members at either a regular or special meeting of the Association, or upon dire emergency. 

7. The President shall act as the official spokesperson of the Association, expressing the views of the majority of the members and perform all other duties incidental to his/her office.

Vice President

1. The Vice President shall, in the absence or incapacity of the President, perform the duties of that office.

Secretary

1. The Secretary shall keep true and accurate minutes of all meeting of the Association: minutes to be written in duplicate with the original copy filed in a minute book and copy to be posted. 

2. The Secretary shall attend to all correspondence pertaining to the Association and assure that mail is regularly collected. 

Treasurer

1. The Treasurer shall have the care and custody of all funds and securities of the Association, and shall deposit the same in the name of Association.

2. Shall sign checks, notes and orders for payment of money which shall be countersigned by another Board member preferably the President. 

3. Shall at all reasonable time exhibit his/her books and accounts to any regular member of the Association upon request. 

4. Receipts will be given for all monies received or paid. Canceled check and stubs will be kept for a period of five (5) years for all monies disbursed.

5. The Treasurer shall have the overall responsibility to collect all monies belonging to or owed the Association, and to keep a correct account of same. He/she shall advise the members of delinquent dues or monies owed; and shall perform all the duties incidental to his/her office. 

Article IX

Meetings

1. The annual meeting shall be held in January in a place designated by the President.

2. Regular meeting shall be held approximately every three months, the time and date designated by the President. All members of the Association shall be eligible to attend the regular meetings and will be allowed to speak on any motion before the membership.

3. Special meetings of the Association may be called by the President or shall be called upon at the request of at least five (5) members of the Association. 

4. All called meetings shall be published at least seven days prior to the date of the meeting by posting the agenda on the bulletin board, and listing the main issued to be considered at each meeting. A special meeting may be called with less notice if deemed necessary by the President. 

5. A quorum shall consist of at least 1/2 + 1 voting member of the Association present at the meeting. 

    a) Any voting member not able to attend the meeting may absentee vote by contacting a board member. If the vote is to be by ballot, the board member will have the member initial the ballot. The board member will initial the ballot and date same. The absentee ballot will be counted at the time of vote. A voting member may also given his/her proxy to another voting member if the vote is other than by ballot. 

6. All votes on business must be passed by a majority of those voting members present, unless specified otherwise by the By-Laws. 

7. All motions shall be carried by a majority of those casting a vote. 

8. It is the responsibility of the Board to conduct all voting for the Association. All voting shall be done by either voice, hand or secret ballot. It will be the responsibility of the President to call the vote. 

Article X

Removal

Any member of the Board of Director, or of the Association, may be removed from the Board of Directors, or the Association by a 2/3 vote of all eligible voting members of the Association by secret ballot.

Article XII

Rules of Order

The following rules of order shall govern the conduct of the Board of Directors and general meetings:

1. The meeting shall be called to order by the President or in his absence the Vice President.

2. If a member, while speaking shall be called to order, he/she shall, at the request of the chair, be silent until the question of order is decided. 

3.Should a member wish to speak at the same time, the chair shall decide who is entitled to speak first. 

4. Should two or more members speak at the same time, the chair shall decide who is entitled to speak first. 

5. No member shall interrupt another in his/her remarks, except to call him/her to a point of order.

6. A member shall not speak more than once on any question unless permitted to do so by a majority of members present, or the questions is in direct reference to a committee he/she serves on. 

7. No member shall speak more than once on any questions until all who wish to speak have had an opportunity to do so. 

8. Speeches shall be limited to three minutes, but the time may be extended by a majority vote of member present. 

9. A motion shall be open for discussion before it has been seconded. Motions may be seconded for purpose of discussion.

10. A motion of table will not be debatable. A motion to reconsider shall not be entertained at the same meeting.

11. No motion or resolution shall be voted on until the introducer has had a chance to speak, if he/she wishes to do so.

12. Any member may demand a secret ballot vote. 

13. It shall take a 2/3 majority vote of members present to override the President, except where it is in violation of the By-Laws. 

14. Roberts Rules of Order Revised shall be taken as authority on all matters not herein provided for.

Article XIII

Committees

Committee's shall be appointed by the President or Board of Directors from time-to-time as deemed necessary to carry on the business of the Association. The objective of the committees will be to solicit members from all divisions when possible. 

Article XIV

Accountability

It is the responsibility of the board to control all monies of the Association. The retiring board will turn over all records, keys, seals and other property of the Association. the retiring board will have all counts balanced, up-to-date, and will make a verbal presentation to the new board members taking charge of any and all accounts. The retiring directors shall immediately notify the bank of the signatures necessary on all Associations checks and savings accounts for signature changes. 

Article XV

Amendments

These By-Laws may be amended at any regular meeting of the Association by a 2/3 vote of the voting members present, provided the amendment has been submitted in accordance with Article IX.4, and these By-Laws shall be in full force upon adoption thereof.
