Corporate Secretarial Services
Overview
We provides corporate secretarial services for Hong Kong and offshore-based companies, including all aspects of company formation, such as incorporation, business registration, registration of a foreign corporation in Hong Kong and conducting company searches. It also provides corporate administration and secretarial services as required under the relevant corporate legislation, including maintaining statutory records, filing statutory returns, preparing and submitting annual returns, providing a registered office, as well as providing local or non-resident directors and nominee shareholders.
We can provide consultancy services to clients on the establishment and administration of both Hong Kong and offshore-based trusts, including acting as trustee of discretionary family trusts or as an executor, trustee or co-trustee on wills. Nominee and custodianship facilities can also be provided.
Setting up a company in Hong Kong
Hong Kong is an attractive location to establish a business presence. It is a leading financial centre with a low tax regime, and its proximity to the People's Republic of China makes Hong Kong an ideal jurisdiction for clients to establish their business presence. Generally this will be through a private limited liability company incorporated in Hong Kong or an overseas incorporated company registered in Hong Kong; although sole proprietorships, partnerships, representative offices etc. can also be established.
Hong
Kong companies can be set up and structured quickly as it is possible to acquire
pre-existing companies, generally known as "shelf companies". These companies
can be acquired and structured to start business within a day if necessary.
Alternatively, companies can be formally incorporated to meet client's
requirements, and this procedure generally takes two weeks.
The corporate requirements of a Hong Kong private limited liability company are:

Profits Tax returns must be filed annually - when filed Profits Tax returns must generally be supported by audited financial statements. |

Employer's returns detailing total salaries and emoluments paid to staff to 31 March must be filed by the end of April each year. |

|
Annual General Meetings must be held by the shareholders each year. |
|
|
Annual Returns, detailing the Company's capital structure, directors, shareholders and company secretary must be filed each year. |
