ARTICLE I MEMBERS
SECTION IA voting member shall own a sailboat, and must be current in their dues and assessments.
Any member who has maintained 10 years or more of voting membership may remain a member without ownership of a sailboat.
SECTION IIThe non-voting membership shall consist of the following categories, providing they are current in their dues:
(a) CREW MEMBERS--They must be a regular crew of a voting member's sailboat. They may enjoy all the privileges of the Club except:
(b) JUNIOR MEMBERS--They are persons under eighteen (18) who may own and keep a sailboat at the Club facilities and are entitled to all the privileges of the Club except:
(c) INACTIVE MEMBERS--They are ineligible for any Club privileges, must pay ½ dues and no assessments. Inactive members may regain active status upon full payment of all assessments levied during their inactive classification and payment of full dues for the then current year. Inactive status shall be granted any active member upon his formal written application to the executive committee.
(d) HONORARY MEMBERSHIP--This status may be conferred by the Executive Committee on any deserving persons. Provisions of this honorary membership shall be set at the time of the awarding of the honorary membership.
SECTION IIIBoats owned in partnership may not be considered as a boat owned by more than one person for purpose of membership.
SECTION IVThe privileges of the Club are automatically extended to the spouse, children under eighteen (18), or students under twenty-three (23), of a voting members.
(a)Upon death of a voting member, membership privileges automatically pass to the spouse.
ARTICLE II APPLICATION FOR MEMBERSHIP
SECTION IApplication for membership shall be made on a prescribed form to Secretary along with applications fees, specifying the class of membership desired.
SECTION IIAll applications for membership shall be acknowledged by the Secretary within thirty (30) days after receipt, and acted upon by the Executive Committee as soon as possible thereafter.
ARTICLE III FEES, DUES, AND PENALTIES
SECTION IEach voting member must have paid an initiation fee set by the voting membership at the annual meeting. Charter members shall be exempt from paying the initiation fee (charter members being those who had paid their fees by March 1st,1971)
SECTION IIThe application fee to accompany each application shall be set at the annual meeting. This fee is non-refundable.
SECTION IIIA. The annual dues shall be set for each type of membership at the Fall Annual Meeting. Camping, extra boat, and any other fees that may be in effect shall also be set at the Fall Annual Meeting. All membership renewals, including fees, are payable by February 1 of the new year.
B. 1. A new voting member shall pay the initiation fee plus a prorated portion of the current annual dues. The proration shall be based on the date of joining according to the following schedule:
B. 2. After dock removal, full annual dues which will be applied to the following year.
B. 3. All fractional dollar amounts shall be rounded up to the next whole dollar.
Assessments may be levied from time to time by the Executive Committee. If such assessments exceed, during any calendar year, the sum of twenty dollars ($20.00), these must be ratified at a notified meeting of the membership before becoming effective. A majority affirmative vote of the members present shall be required for ratification.
SECTION VAny member in arrears for dues or other indebtedness thirty (30) days after they become due shall be so notified at his last given address by the Secretary. If the dues remain unpaid for sixty (60) days after they become due, a second notice shall be sent and such member shall be barred from all Club privileges until such amounts are paid. If such dues or accounts due to the Club shall not be paid within ninety (90) days after they become due, it shall be the duty of the Executive Committee to expel such members.
SECTION VINo member shall be expelled without being given reasonable opportunity for a due hearing before the Executive Committee which may, at its discretion, reinstate such member on payment of this indebtedness. If any member shall resign or be expelled from the Club for any reason whatsoever, all of his right, title and interest in or to the assets, of property of the Club shall revert and be forfeited to the Club without further action.
SECTION VIIMembers of the Club shall be directly and individually responsible to the Club for all damage done to the property of the Club be themselves or their guests and for the conduct of their guests and shall pay such sum as is ascertained by the Executive Committee to compensate the Club within thirty (30) days of receipt of bill.
ARTICLE IV GOVERNMENT
SECTION IThe entire government and management of the Club shall be vested in the Executive Committee, which is comprised of four (4) Flag Officers who are elected for a period of one (1) year and seven (7) other members who are elected, two (2) or three (3) each year for a period of three (3) years.
ARTICLE V FLAG OFFICERS
SECTION IThe Flag Officers shall be: Commodore, Vice Commodore, Secretary, and Treasurer. To become eligible to the position of either Commodore or Vice Commodore, a candidate must have been a member for two (2) years and have been a member of the Executive Committee for one year. To become eligible to the position of Secretary or Treasurer, a candidate must have been a member of the Club for one (1) year.
SECTION IIThe retired Commodore shall serve in an advisory capacity with the Executive Committee for a period not to exceed the term of office of his successor. All retired Commodores shall carry the title of Past Commodore and shall be entitled, as long as they remain voting members of the Club, to receive regular notice of, and to attend but not to vote, at all meetings of the Executive Committee.
ARTICLE VI DUTIES
SECTION I—COMMODORE(a) The Commodore shall be the commanding officer of the Club.
(b) It shall be his duty to carry out the instructions of the Executive Committee.
(c) He shall enforce the Charter, Bylaws, and rules of the Club.
(d) He may call special meetings of the Executive Committee and of the Club and shall preside at all meetings. Upon request of two or more Executive members he must call a special meeting.
(e) He shall appoint such committees as deemed advisable and approved by the Executive Committee.
SECTION II—VICE COMMODORE(a) The Vice Commodore shall assist the Commodore in his duties.
(b) In the absence of the Commodore he shall officiate in his stead.
SECTION III—SECRETARY
ARTICLE VII NOMINATIONS AND ELECTIONS
SECTION IA nominating committee of five (5) members, three (3) past Commodores when possible, shall be appointed annually, not later than August 16th, by the Executive Committee.
SECTION IIIt shall be the duty of the Nominating Committee to provide at least one (1) candidate for each position to be filled. These positions shall be Commodore, Vice Commodore, Secretary, Treasurer, and other vacancies on the Executive Committee.
SECTION IIIThe Nominating Committee shall, not later than September 15th, notify the Secretary of its selection of candidates and the Secretary shall mail this to each member prior to the annual meeting. Should there be more than two (2) Executive Committee positions (other than Flag Officers) to be filled by election, the Executive Committee may, at its discretion, instruct the Nominating Committee to group those candidates names so that, at the elections, each member may vote for as many candidates as there are positions to be filled, the two (2) candidates receiving the highest number of votes to be declared elected for the three (3) year terms, the candidate receiving the next highest number of votes to be elected for the next longest term and so on.
SECTION IVAdditional candidates for any office may be nominated from the floor by any voting member at the annual meeting and the names of these nominees shall be added to those selected by the Nominating Committee. In the case of more than two (2) candidates for Flag Officer, the election will be based on a simple majority. If first casting of the ballot does not produce a simple majority, the candidate receiving the fewest votes will be dropped. This voting procedure will be followed until one (1) candidate receives a majority of votes.
SECTION VThe newly elected Flag Officers and Executive Committee members shall take office November 15th following their election, by which time the retiring officers shall have turned over to their successors all documents, records, property, and communications with the business of the Club, and they shall hold office until replaced.
ARTICLE VIII MEETINGS
SECTION IThere shall be an Annual Meeting held each year. The Executive Committee shall have option to set date of Annual Meeting between the dates of September 1st and, November 1st. The following order of business shall be observed at the meeting:
Special meetings of the membership may be held at the call of the Commodore or at the desire of a majority of the Executive Board or at the request of ten (10 voting members.
SECTION IIINotice of all meetings shall be mailed to each member by the Secretary fourteen (14) days prior to said meeting. In the case of special meetings the notice therefore should briefly state the object of the special meeting.
SECTION IVTen (10) members in good standing constitute a quorum for the transaction of business at any regular or special meeting.
SECTION VRoberts Rules of order shall be the final authority in all matters of the parliamentary procedure.
ARTICLE IX BURGEE
SECTION IThe design of the Burgee shall be that as published in Lloyds Registry of American Yachts. None other than members shall have the privilege of flying the Club Burgee. All Burgees shall be the property of the Club and leased to members, subject to recall by the Executive Committee.
ARTICLE X AMENDMENTS
SECTION IThe Bylaws may be amended at any regular meeting by a three-fourths (3/4) vote of the membership present, or, if the amendment proposed shall have been agreed upon by majority of the Executive Committee at any of its meetings, a notice thereof containing the proposed amendment shall be included in the Secretary's call of the next meeting of the Club or a special meeting of the Club called for that purpose, and if approved by a two-thirds (2/3) vote of the members present, it shall become a part of the Bylaws.
