BY-LAWS | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
ARTICLE I Name | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
The name of the Corporation shall be Land O' Lakes High School Band & Guard Boosters, Inc. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
ARTICLE II Principal Office | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
The Principal office of this Corporation shall be located at 20325 Gator Lane, Land O' Lakes, County of Pasco, State of Florida | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
ARTICLE III Purposes | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
The purpose for which this Corporation is formed are as follows: | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
a. for the advancement of charitable educational and any other related or corresponding charitable purposes by the distribution of its funds for such purposes. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
b. to operate exclusively in any other manner for such charitable or educational purposes as will qualify is as exempt organization under Section 501(c) (3) of the Internal Revenue Code, as amended, or under any corresponding provisions of any subsequent federal tax laws covering the distributions to organizations qualified as tax exempt. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
c. to promote the development of the Land O' Lakes High School band program, to render assistance in the conduct of programs and activities of the band program, to involve parents with participation in the music programs intended to further the educational development of their children, to enlighten the community and build awareness and interest in the band development, and to raise funds for the special requirements of the band not otherwise provided by official sources. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
For the purpose of this document, all references to Land O' Lakes Band Boosters will be interpreted as Land O' Lakes High School Band & Guard Boosters. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
ARTICLE IV Prohibited Activities | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
Notwithstanding any other provision of these Bylaws or the Articles of Incorporation, this Corporation shall not conduct or carry on any activities not permitted to be conducted or carried on by any organization that shall be exempt under Section 501 (c) (3) of the Internal Revenue Code and its Regulations, now existing or hereafter amended, or by any organization contributions to which are deductible under Section 170 (e) (2) of the Internal Revenue Code and its Regulations, now existing or hereafter amended. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
ARTICLE V Membership | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
Any individual interested in furthering the objectives of the band program, who is willing to actively participate in the programs, abide by the by-laws of the organization, and pay an annual membership fee, shall be eligible for membership. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
ARTICLE VI Officers | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
The governing body of the Band Boosters shall be the Executive Board, consisting of eight adult members. Six will be elected officials in the postitions of President, Vice-President, Treasurer, Secretary, Fund-Raising Director and Administrative Director. The remaining two permanent board members will be the Director of the Music Department and the Land O' Lakes High School Principal, or his/her designee. The Board shall be empowered to conduct the regular affairs of the band boosters. The duties of elected officials shall be outlined as specified herein. The term of office for all elected officers shall be one year to begin May 1st, and no person shall serve in the same office for more than two consecutive years. there is a school requirement that an audit be performed prior to the new treasurer taking over the financial books. Due to this requirement, the books will not be available on May 1st when the new officers take office. The new treasurer however, will receive the books not later than June 1st. Committees such as Publicity, or others that may become necessary shall be appointed by the President. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
ARTICLE VII Elections | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
Elections shall be held annually at the general membership meeting in the Spring, for the term beginning May 1st. Voting shall be by secret ballot unless there is only one candidate for an office in which case that candidate will automatically fill that position. The vote of the acting president shall be reserved to resolve any tie votes. Votes will be tallied by a committee of three booster members, and the results announced prior to the end of the general meeting. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
a. Vacancies in Office. In the event of a vacancy in the office of the president, the vice president shall succeed to such office for the unexpired term. Any other vacancies on the board shall be filled as follows: | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
1. An elective office shall be filled by vote of the membership at the next regular meeting of the organization. The president may appoint a temporary replacement to fill an officer position until the next general meeting. The appointed officer will not have voting privileges until officially elected. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
2. The president shall fill the vacancy as to any chairman of a committee as soon as possible after such vacancy occurs, such appointment to be approved by the board of directors. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
b. Voting rights. Only one adult band booster family member may vote in officer elections. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
ARTICLE VIII Nominations | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
At a General Meeting prior to the election, nominations will be taken from the floor for all executive offices. All associated band fees must be paid up-to-date and the consent of the candidate must be obtained prior to his/her name being placed in nominated. The candidate must be a parent or legal guardian of a band or guard member to be eligible to run for office. If two candidates have not been nominated for any office, the President shall appoint a nominating committee of five persons. The Director of the High School Band will also serve on this committee. the nominating committee will attempt to find at least two nominees for each office. The Committee will submit a list of all candidates willing to be placed in nominating one week prior to the election. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
ARTICLE IX Meetings | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
General Membership meetings shall be held at least every two months throughout the school year, with meeting dates and places to be determined by the Executive Board. Special meeting may be held as deemed necessary by the Executive Board, or may be convened upon written request by not less than 25 percent of the membership. Executive board meeting shall be held monthly during the school year. The suggested order of business may be as follows: | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||

ARTICLE X Duties of officers | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
The duties of the officers include, but are not limited to, the following: | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
a. President - shall preside at all general meeting of the Band Boosters and the Executive Board; shall be unofficial member of all committees except nominating committee; shall perform other such duties as pertain to his/her office. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
b. Vice President - shall assist the President in the performance of his/her office, serving in that office in the absence of the President, having all the powers, authority and duties of the President during his absence of inability to act. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
c. Secretary - shall keep an accurate minutes of all meetings of the Band Boosters and Executive Board, and shall perform other such duties as may be delegated. All such material shall be filed in a specified location at the school. Shall conduct such correspondence as is designated by the President and Executive Board; shall prepare and maintain a list of active members complete with names, addresses and phone numbers; shall mail or distribute notices of all general meetings; notify committees of their appointment, and read all important communications at membership or Board meetings. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
The secretary is also responsible for the submission of news articles reporting on upcoming band events or completed band activities, such that may promote better understanding of the music program by the general public. In addition, the secretary will produce an informative newsletter sent to the general membership on an average of every six to eight weeks. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
d. Treasurer - shall receive and maintain responsible control of all moneys of the Band Boosters; shall maintain record of receipts and expenditures; shall disburse funds as authorized by in Article X. He/she shall present a written detailed financial report at each executive meeting. Minimally this report must show the Beginning balance (as of the last financial report); all checks issued; all deposits made; all cash transactions; any other financial disclosures; and the current ending balance to-date. At each general meeting the treasurer will provide a financial report summarizing all financial activity Y.T.D. by Budget account. A complete financial report must be submitted to the executive board no later than by June 1st.--The treasurer shall also be authorized to sign checks on accounts established by the Band Boosters, which shall also be countersigned by the President or a Vice President. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
e. Fund-Raising Director - shall be in charge of all fund-raising and fund-raising committees; shall keep the membership aware and active in all fund-raising activities. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
f. Administrative Director - shall be in charge of chaperones, uniforms and keep an accurate list of membership as to assign and maintain the "Phone Tree", which keeps the general membership informed of upcoming events and immediate information. The Administrative Director will keep a chaperone list and assign them to events the band will be attending, keeping 1 chaperone per 10 students. In addition, will maintain the garment and student list for uniforms. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
g. School Principal or designee - shall provide input from a school administrative standpoint; provide advice and information to assure proper running of band booster business. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
h. Director of Music Department - shall provide input as to the needs of the band and may ask for assistance ( of band booster members) in many areas of band endeavors. Shall provide guidance to the boosters as to the overall direction of the band program. Provides objectives for the long term planning of the band program and future financial needs. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
ARTICLE XI Financial Audit | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
The Band Booster accounts shall be examined yearly by a C.P.A. and an audit report must be provided to the executive board prior to June 1st. the audit will be available for public review by no later than June 15th. Other audits shall be completed as required by law and the school administration. ARTICLE XII Budget An annual budget will be prepared by the Executive Board and submitted to the membership by June 15th. Any payment from the Band Boosters account not appearing in the annual budget or in excess of the budgeted amount, needs to have the approval of a majority of the Executive Board before funds will distributed. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
ARTICLE XIII Annual Dues | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
Annual membership dues will be in the amount of $5.00 per family. Other levels of donations for memberships are available. ARTICLE XIV Effective date of By-Laws These by-laws shall become effective immediately upon acceptance by the initiating Executive Board members, who shall sign the by-laws as charter subscribers. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
ARTICLE XV Dissolutions of Corporation | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
In the event of dissolution of the corporation, all moneys, contracts, books, or any other materials belonging to the Land O' Lakes Band Boosters, shall be turned over to the Land O' Lakes High School Principal. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
ARTICLE XVI Parliamentary Authority | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
The rules contained in the current edition of Robertıs Rules of Order shall govern the Society in all cases to which they are applicable and in which they are not inconsistent with these by-laws and any special rules of order the Society may adopt. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
ARTICLE XVII Amendments | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
These by-laws may be revised during any general meeting, providing that a 15 day prior notification of proposed amendments has been sent to the entire membership. A two-thirds affirmation vote of the members present shall be necessary for adoption. All future amendments will be provided as attachments to this document and the pages will be marked in the format "PAGE 1 of 9" denoting the current page and the total amount of pages including attachments. | ||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||||
