Section 1. The name of the organization is the Sauratown Mountain Hang Gliding Club, hereafter referred to as the SMHGC.

Section 2. Primary purposes of the SMHGC are to preserve and administer hang gliding activities at Sauratown Mountain; to promote organization and camaraderie between all members; to promote the training and rating of students interested in learning the art of hang gliding; and to promote safe and mature flying practices as outlined by the USHGA and any Local, State or Federal Agency.

Section 1. The membership of the SMHGC shall consist of the individuals whose dues have been collected and application for membership has been accepted by a current SMHGC Director. Current USHGA membership is required for Flight Privileges.

Section 2. A membership may be revoked for such cause as violation of rules of the SMHGC, or for conduct prejudicial to the best interest of the SMHGC. Such action shall require the majority vote of the full Board of Directors (BOD) at one of their meetings, provided that a statement of charges and a notice of time and place of the BOD meeting have been mailed to the member at least seven days before the meeting.

Section 3. Classes of Annual Membership shall be as follows:

Full Annual Member (with USHGA membership) - $50.00,

Supporting Annual Member (no flight privileges) - $25.00,

One time gate key fee - $50.00.

Section 4. Annual membership is required for authorized use of a SMHGC key. Any unauthorized use will be considered trespassing and grounds for legal action. Keys may only be duplicated by members for their own personal use or use by their drivers. Any unauthorized key given away by a member is a violation and will warrant a membership to be revoked.

Section 5. Visiting pilots are welcome to fly without membership provided that they are accompanied by a member, and qualify in accordance to the SMHGC Clearance Procedures as stated in the Regulatory Program. Visits without membership are limited to TWO each year.

Section 6. First year membership fees after March 1^st are $5.00 for each full month remaining in the year for a "Partial Year Membership", or $50.00 at anytime during the year for a "Full Annual Membership".

Section 7. All "Annual" and "Partial Year" members will receive the SMHGC periodic newsletter (The Sauratown Winds) which will be used to announce club meetings or other matters of importance.

Section 8. Only "Full Annual Members" have voting privileges in the club.

Section 1. Club meetings will be set by the BOD. The first meeting of each year will be in February and a final gathering will be at the club’s Christmas Party in December. Other meeting dates will be decided when necessary.

Section 1. The affairs and business of the SMHGC shall be governed by its Board of Directors. The BOD consists of the four club officers. These individuals are also the executive committee.

Section 2. Nominations to SMHGC offices will be taken at the club’s Christmas Party. Ballots will then be mailed to the membership that will include the names of those nominated plus room for write-in candidates. The ballots will be in the form of a pre-addressed return mailer and must be received from the membership by December 31 ^st of each year.

Section 3. The term of office is one year and the person may be re-elected to the office.

Section 4. The Board of Directors meets whenever there is a matter to be discussed. The meetings are called by the President, or by the mutual concerns of the other three officers.

Section 5. The decisions of the BOD will be carried by majority vote.

Section 6. Any vacancy on the BOD shall be filled by vote of the remaining Directors and the term of office shall be for the remainder of that year.

Section 1. The President shall preside at all meetings, appoint all committee chairmen and, with approval of the Directors, sign and execute all contracts in the name of the SMHGC and shall have general supervision of the management of all affairs of the SMHGC.

Section 2. The Vice President shall be vested with all powers of the President and shall perform the duties of the President in the case of the absence or disability of the President, and shall perform such duties as delegated by the President.

Section 3. The Secretary will keep the minutes for all meetings, be responsible for all meeting notices and keeping historical records for the SMHGC, and shall perform such other duties as delegated by the Board that may be incident to the Secretarial office.

Section 4. The Treasurer shall manage all receipt and deposit of SMHGC Moneys, make disbursements authorized in budgets approved by the Directors, prepare financial reports and operating statements, and perform such other duties as may be incident to the office of Treasurer.

Section 1. Committees may be formed by the President at any time deemed necessary.

Section 2. Any policies, procedures or rules recommended by committees and approved by the BOD will be distributed to the general membership upon approval.

Section 1. A director may be removed from office by unanimous vote of the remaining Directors, without prior notification.

Section 2. Copies of letters and petitions received from members requesting removal from office will be sent to the person in question upon receipt from the SMHGC members.

Section 1. The fiscal year shall be from January 1^st to December 31^st. Dues should be paid prior to flying each year.

Section 2. Previous members that fly without paying will be charged an interest fee of $2.00 per month until payment is received.

Section 1. The Bylaws may be amended by a majority vote of the full membership. Ballots may be cast through the mail.
