The Puppeteers of
Puget Sound, Inc.
Article I – Name, Establishment, and
Incorporation
The name of this organization shall be the
Puppeteers of Puget Sound. The Puppeteers of Puget Sound was established
on September 21st, 1980 in Articles II - Purpose
The purpose of the Puppeteers of Puget Sound shall be to promote and raise the standards of the art of puppetry through the exchange of ideas, programs and workshops. Article III - Membership
Membership in this organization shall be open to any person or group of persons interested in promoting its purposes, subject to payment of dues. Section 1: Regular memberships shall be open to any member in good standing in the Puppeteers of America, Inc. who pays dues to the Puppeteers of Puget Sound. Section 2: Regular Family/Couple Membership is the same as a Regular Membership except: 1. A Regular Family/Couple Membership is entitled to two votes as long as at least two members of the family are present. 2. A Regular Family/Couple Membership can only have mailings sent to one address. 3. A Regular Family/Couple Membership may only have one website linked to the Puppeteers of Puget Sound Website Section 3: Junior membership-persons in the age of sixteen or under, sponsored and accompanied by a Regular or Associate Member, shall be considered junior members. All regular meetings will be open to junior members, although they will not be permitted to vote on business matters. Junior Members may attend special meetings at the discretion of the executive committee. Special meetings for Junior Members may be scheduled by the vice president in charge of programs. Section 4: Organizational membership is subject to payment of dues for one member; this entitles them to one vote and one representative at each meeting. The organization must have membership in the Puppeteers of America, Inc. They may have one site linked to the Puppeteers of Puget Sound Website and receive mailings at their organization’s address. Section 5: Associate Memberships shall be open to any person over the age of 17 who is interested in promoting the purposes of this Guild. An Associate Member need not be a member of the Puppeteers of America, Inc. and shall be entitled to all the rights and privileges of the Puppeteers of Puget Sound, except: 1. An Associate Member shall not be entitled to a vote nor to a voice on the floor of its meetings 2. An Associate Member shall not hold an elected office of the Puppeteers of Puget Sound. Article

V - Duties of
Officers
Section 1: The President - The president shall preside at all meetings, decide on all points of order, and appoint all committees with the exception of the nominating committee. In the event of an officer vacancy, the president shall appoint a new officer to fill the unexpired term with the approval of the executive committee. He shall advise and oversee all activities of the guild. Section 2: Vice President in Charge of Programs - The vice president of the programs shall assume the duties of the president in his absence and, in case of a vacancy, shall become the president in the discharging of his duties. They shall setup the agenda of programs for the four regular meetings scheduled during his term of office. Section 3: Vice President in Charge of Membership - The vice president charge of membership shall distribute information concerning the guild to new or prospective members. He shall assist the vice president in charge of programs in setting up programs. He shall oversee the hospitable reception of guests, and members at the guild meetings. He shall keep a roster/database of members and report on membership at each of the four regular meetings. He shall distribute to other members updated rosters at the second annual regular meeting. Section 4: The Secretary - The Secretary shall keep records of the proceedings of the organization, attends to the necessary correspondence, and keep on file all important communications and replies thereto. He shall submit a report from the executive committee to the Puppeteers of America, Inc. Board of Trustees before the festival business meeting of his term of office. The Secretary shall read the minutes of the previous meeting at all regular meetings and will report on important communications. Section 5: The Treasurer - The treasurer shall collect dues and all monies of the guild and is authorized to reimburse legitimate expenses incurred by the guild. He shall keep an accurate account of money received and paid out. He shall make a report at each of the regular meetings, and present a comprehensive breakdown of collections and expenditures at the final regular meeting of his term. He shall assist the vice president in charge of membership in keeping the membership database current. Section 6: Newsletter Editor - The newsletter editor shall publish a minimum of four (4) newsletters and mail them to the membership. The newsletter will be sent no later than two weeks in advance of the upcoming regular meeting. Section 7: Webmaster – The webmaster shall maintain the guild website. It must be updated no later than two weeks before the next regular or special meeting. It must always include the current contact information for the guild’s President and the Newsletter Editor. The Webmaster will also maintain the guild mailing lists: thepofps@yahoogroups.com. Articles
VI - Term of
Office
Term of office is one year. Officers will be installed at the first regular meeting of the guild year and will prepare to serve the guild until new officers are installed. Each elected officer may succeed himself for one term. After serving two terms, he may return to a previous office only after being out of that office for one term. The officer may be elected to another office after one or two terms in his original office. Articles
VII - Election of
Officers
The nominating committee will nominate and present one slate of officers for candidacy at the first regular meeting of the guild year. At this meeting, other nominations may be made from the floor by members provided nominated persons are present or have submitted written permission for their nomination. If more than one nomination is made per office, the vote will take place by secret ballot. Elected officers will also be installed at the first meeting of the guild year. Article
VIII - Meetings
A minimum of four regular meeting which will include reports from officers, discussions of important business matters and a program or workshop will be held each year with the upcoming date set by the executive committee and announced at the prior meeting with particulars reiterated in the guild newsletter. Special meetings and programs may be held at the request of the executive committee provided reasonable notification of members is possible. Article
IX - Amendment to the
Constitution
Amendments may be initiated by at least two members. The proposed changes shall be read at the regular meeting preceding the regular meeting at which voting will take place, and must be published by mail notice to all members at least fourteen days before the voting date. The amendment must be passed by a 2/3 vote of the members present Bylaws
Article
I - Dues
The dues of this organization shall be set by the executive committee and shall be reviewed annually. The dues recommended shall be approved by 2/3 vote of the members present at the next regular meeting. Article
II - Quorum
A quorum shall consist of one-fourth of the membership plus at least three officers. Article
III - Committees
Section 1: Special committees shall be appointed by the president, as needed, with the approval the other officers. The president shall act as an ex-officio member of these committees. Section 2: A budget and finance committee consisting of five members shall be formed at the beginning of each new guild year. The members shall be the president, the treasurer, and three members appointed by the president from the membership at large. The chairman shall also be appointed by the president. It shall be the function of the committee to establish a budget for the duration of the upcoming guild year to be presented to the guild at the second regular meeting of the year. Approval by a 2/3 vote of the members present at that meeting will render the budget official and legitimate. The committee shall also review any expenditure in excess of the current approved budget before payment or reimbursement by the treasurer can be authorized. The budget may be amended by majority vote of the committee members. Section 3: The nominating committee, consisting of five people, shall be selected by the members present at the last regular meeting of the year. The committee shall appoint its own chairman. Article
IV - Amendment to the
Bylaws
The bylaws may be amended by 2/3 vote of members present at any regular meeting. |
