14. FINANCIAL ORGANIZATION

(a) The financial affairs of the Alliance shall be managed by _____name of corporation_____ , a non-profit, Corporation created for such purpose and organized by the Alliance subject to this Article.

(b) The _____name of corporation_____ shall consist of the following Members:
(i) a Chair, appointed by National Council;
(ii) its Directors shall be elected by National Council from amongst their own numbers; and
(iii) Individuals who are Members selected by National Council.

(c) When acting within the scope of their authority, no Councillor shall be liable for any debts, actions, claims, demands, liabilities or commitments of any kind made by the Alliance, and in particular the Alliance and _____name of corporation_____ shall indemnify, and hold harmless each such Councillor and/or Officer against any such debt, action, claim, demand, liability or commitment whatsoever.

(d) Only _____name of corporation_____ may, and no member thereof shall, commit the Alliance to any indebtedness of any kind, either for goods, services or otherwise. Any Member committing the Alliance in contravention hereof shall save harmless and indemnify the Alliance against any claim, demand, action, debt or cause of action which may arise as a result of such unauthorized commitment. Annual audited financial statements of ___name of corporation______ shall be automatically made available to each Constituency Association.

(e) National Council shall offer remuneration equivalent to the salary of a Member of Parliament, to the President of National Council.

(f) National Council shall offer remuneration equivalent to the salary of a Member of Parliament, to the Leader, so long as the Leader is not an elected Member of Parliament.

15. OFFICES

The Alliance shall maintain a National Office and/or other offices at locations determined by National Council.

16. CONSTITUTIONAL AMENDMENTS

(a) National Council, or any committee or task force established by National Council or by a National Convention, or a Constituency Association on approval of a majority vote of the Members at a duly constituted Meeting of the Association called for that purpose, among others, may propose amendments to this Constitution. An amendment so proposed by a Constituency Association, together with a copy of the notice and minutes of the meeting where it was passed shall be presented to the Secretary of the Alliance.

(b) The Secretary of the Alliance shall create a grassroots Constitutional Amendment Process, which shall include timelines, leading up to each National Convention. Such process will allow for all Constituency Associations to receive all Constitutional Amendments to be debated at the National Convention not less than thirty (30) days prior to the National Convention.

(c) This Constitution may be amended by referenda or at a National Convention, in accordance with "Article 13 - Polls, Petitions, Referenda and Voting" provided the majorities required within that Article are achieved.
