Providing taxation advice to the business, managing corporate reconstructions and the taxations issues arising therefrom.  Special responsibility for drafting of tax driven contracts, and for transfer pricing.  Part of global transfers pricing defence team. Also providing technical and skills training to country managers.

 

Achievements and special work

·         Reviewed and influenced the writing of the global transfer pricing reports

·         Directed and managed country tax managers and outside counsel, in the implementation of new corporate structure:

·         Drafted legal documents to implement structure

·         Identified, and led project to secure USD1.2 million savings in stamp duty

Provided verification and valuation advice to the Commissioners, assisting in the valuation of war reparation claims arising out of the invasion of Kuwait by Iraq through

  • Analysing and presenting to a panel of Commissioners, 270 corporate claims relating to the tourism and transport industry with a total asserted value of more than USD2,400 million
  • Managing the process of procuring external consultants to assist in the preparation of claim reports verifying and valuing claims, also controlling the quality of the work product through review, feedback and discussion

 

Achievements and special work

  • Directed the development of valuation methodologies to deal with the valuation of claims within a sector where there was no, or insufficient direct evidence either because of the war, or because of other reasons
  • Working with both legal and valuation experts, co-ordinated the development of a valuation methodology for valuing the loss of professional standing consequential upon the loss of information
  • Managed the development of computerised valuation processes, developing specifications for programs, developing testing plans and reporting plans
  • At the request of the Chairman of the Commissioners, drafted the Valuation and Verification section of two of the Commissioners' reports, covering among other things, the basis of awarding compensation, the bases of valuations, and the period of compensation
  • Developed operating procedures for the creation of files of record as no procedures were in existence

Co-ordinated cross-border and pan-Asian tax projects within the region, all the while maintaining close liaison with the US HQ to ensure a confluence of goals.

 

Achievements and special work

  • Prepared defence file for the Asian cost sharing/central services arrangement
  • Drafted and implemented addenda to the standard cost sharing/central services agreement to strengthen the arrangement, extending it throughout Asia.  In the process, communicating with, and co-ordinating the various local tax managers throughout Asia
  • Assisted in the successful defence of the above cost sharing/central service arrangement during tax audits
  • Advised on, drafted and implemented intellectual property agreements between Asian entities and US parent
  • Advised on, drafted the necessary contracts, and implemented a foreign exchange dealing system for Asia

Managed tax affairs of various multi-national corporations (“MNCs”) (e.g. Citibank and the Pharmacia-Upjohn Group) and large domestic groups (e.g. Land Development Corporation and Hang Seng Group).  Advised on international executive tax issues and tax efficient compensation from a Hong Kong and United Kingdom perspective.  Managed the tax affairs of expatriates and highly paid staff of MNCs (e.g. SBC Warburg, Citibank, Deutsche Bank)

  • Advised on the merger of the Hong Kong companies Kabi Pharmacia / Biotech merger, including the drafting of the necessary merger documentation
  • Managed a number of tax audit assignments, managing the investigation and dealing with the Inland Revenue Department’s Field Audit and Special Investigation Unit, including an attack on the use of a captive insurance company
  • Appeared on Commercial Radio and ATV advising on UK taxation, quoted in the national press on HK and UK taxation
  • Addressed various conferences on pension taxation, executive compensation, and investing in the UK.
