Business Systems, Inc., Champion Business Systems, Inc. and FMS Marketing,
Inc. (which does business as FMS/Harvest, and, as of December 31, 2001,
the Company merged FMS/Harvest with and into Red Wing), its wholly owned
subsidiaries. In addition to traditional accounting and financial
management software solutions, it offers e-business applications and
