| Be Incorporated has no business operations. Prior to the cessation of
its business operations in 2001, the Company offered software solutions
designed for Internet appliances and digital media applications. Be's
software solution products consisted of BeOS, an operating system designed
for digital media applications and BeIA: the Complete Internet Appliance
Solution, which was comprised of three components: BeIA Client Platform,
BeIA Management and Administration Platform and BeIA Integration Services.
The Company has no plans to acquire any new assets or undertake any new
