| Mad Catz Interactive, Inc. is an interactive entertainment company. The
Company has two primary operating subsidiaries, 1328158 Ontario Inc.,
which carries on business as Mad Catz Canada, and Mad Catz, Inc. (MCI),
which designs, develops, manufactures (through third parties) and markets
interactive video game control devices and accessories for players using
both personal computers (PCs) and all major console-based video game
platforms. MCI's products include steering wheels, joysticks, memory
cards, video cables and accessories, automotive racing simulation
controllers, a family of sports and action/adventure game controllers and
advanced controllers, gamepads, light guns, arcade-style, in-home dual
video game controllers and three-dimensional video game controllers for
the PC market. MCI also offers a comprehensive suite of complementary
