| NetSalon Corporation is an application service provider that is actively
involved in product development. NetSalon has developed various
Internet-related products, which it originally intended to sell through a
multi-level marketing distribution system. As of August 17, 2000, product
development essentially was complete, but the Company had not built a
successful multi-level marketing distribution system. NetSalon is engaged
in two business segments, providing software, technology and consulting
services to affinity, multi-level and network marketing organizations, and
providing Website design, Web hosting and related Internet services. The
Company was formed in August 2000 through the reverse acquisition of
