3Dfx Interactive, Inc. developed high performance, cost-effective
graphics chips, graphics boards, software and related technology that
enabled an interactive and realistic 3-D experience across multiple
hardware platforms. The Company is in the process of winding up its
business. In March 2001, shareholders approved proposals to liquidate,
wind up and dissolve 3Dfx pursuant to a plan of dissolution and to sell
certain of its assets to Nvidia US Investment Company. On March 30, 2001,
3Dfx filed a certificate of election to liquidate, wind up and dissolve
with the California Secretary of State's office. 3Dfx is proceeding to
wind up its affairs and is no longer operating or generating revenues in
the normal course of business. On April 18, 2001 substantially all of
3Dfx's assets were sold to Nvidia Sub. In October 2002, the Company filed
a petition with the United States Bankruptcy Court for the Northern
District of California under Chapter 11 of the United States Bankruptcy
