STARS BOOSTER CLUB

ARTICLE
I
Name
The name of this club shall be THE HUNTSVILLE STARS
BOOSTER CLUB. In this document, it shall also be known as the Club.
ARTICLE
II
Object
The object of this Club shall be to promote, organize
and provide community and fan support to the representatives, players, staff, managers,
and coaches of the Huntsville Stars Baseball organization.
ARTICLE
III
Members
Section 1. Any Huntsville Stars fan desiring membership
in this Club shall file for membership with the membership committee. There are two
(2) classes of membership: individual and family. Individuals will have one (1) vote;
family memberships of two (2) members will have two (2) votes, more than that will
have three (3) votes. Members must be fifteen (15) years of age to vote. Upon payment
of the annual dues, the fan will be declared a member of the Club.
Section
2. The annual dues are:
a. Individual - fifteen dollars ($15.00)
b.
Family - twenty dollars ($20.00)
A family constitutes parent(s) and legal
dependents and single children 25 and under that lives with parent(s) or are away
in school.
The annual dues for returning members are payable at or before
the regular scheduled March meeting each year. New members dues are payable upon
joining the Club. The treasurer shall notify members thirty (30) days in arrears,
and those whose dues are not paid within thirty (30) days thereafter shall be automatically
dropped from membership in the Club.
ARTICLE IV
Officers
Section 1. The officers of the Club shall be a President, a Vice-President,
a Secretary, a Treasurer, and six (6) Directors. These officers shall perform the
duties prescribed by these Bylaws and by the parliamentary authority adopted by the
Club.
Section 2. At the regular meeting held in July,
a Nominating Committee Chairman (a member of the Board of Directors) shall be
appointed by the President. The Chairman will select a committee of no less than
two (2) members to serve. It shall be the duty of this committee to nominate
candidates for officers to be filled at the regular meeting in September. The Committee
will provide the names of candidates to the Club at the regular meeting in
August.
Before the election at the September meeting, additional nominations from the floor
shall be permitted.
Section 3. The Officers shall be elected by ballot to
serve a one (1) year term (no more than 2 terms consecutively) and their term
of office shall begin at the close of the meeting at which they are elected.
Section 4. Directors shall be elected for two (2) terms. During the scheduled officers
election, three (3) new Directors will be elected to replace those whose terms have
expired.
Section 5. If an Officer or Director is unable to fulfill his obligation
or takes another office, the Board of Directors will appoint a replacement.
ARTICLE
V
Officers Duties and Responsibilities
Section 1. The President
shall chair all meetings of the Club, shall be the official spokesperson for the
Club, and shall represent the Club in dealings with the press, public, and the Huntsville
Stars organization. The President shall oversee carrying out of projects and all
other activities of the Club. The President will vote on all issues put before the
membership; sign all official contractual documents on behalf of the Club; implement
policies formulated by the Executive Board; sign checks in the absence of the Treasurer;
create committees; appoint chairpersons, and be ex-officio member of all standing
committees; serve as Chairperson of the Executive Board; and perform such other duties
applicable to the office as prescribed by the parliamentary authority adopted by
the Club. Upon completion of his term, the President will serve as a non-voting member
of the Board of Directors during the following year.
Section 2. The Vice-President
shall assist the President in the performance of the President's duties and undertake
such tasks as assigned by the President; assume the duties of the President in the
absence of the President; and perform such other duties applicable to the office
as prescribed by the parliamentary authority adopted by the Club.
Section
3. The Secretary shall take minutes of the meeting of the membership and the Executive
Board; process all official correspondence and serve as custodian of the records,
meeting documentation, and all written transactions of the Club; attest all contracts
and obligations and other official documents with the President; maintain an updated
directory of all members; and perform such other duties applicable to the office
as prescribed by the parliamentary authority adopted by the Club.
Section
4. The Treasurer shall exercise general supervision of the financial affairs of the
Club by performing all duties required by these bylaws or properly assigned by the
Executive Board, and all other duties which are incidental to the office as prescribed
by the parliamentary authority adopted by the Club; have charge of the collection
of all monies due and authorized disbursements of monies from the Club, keeping regular
and systematic records of all financial transactions; exhibit with prior approval
of the Executive Board, the financial records when requested for audit; and present
a monthly financial report.
Section 5. The Directors shall make policy recommendations;
and provide general oversight for Club functions and activities.
ARTICLE
VI
Meetings
Section 1. The regular meetings of the Club shall
be held each month from March to September inclusive, at a time and place
determined by the President, unless
otherwise ordered by the Club.
Section 2. The regular meeting in
September shall be known as the annual meeting and shall be for the purpose
of electing officers, receiving reports of officers and committees and for any other
business that may arise.
Section 3. Special meetings may be called by the
President, by the Executive Board, or shall be called at the written request of ten
(10) members of the Club. The purpose of the meeting shall be stated in the call.
Except in cases of emergency, at least three (3) days' notice shall be given.
Section 4. Twelve (12) members of the Club shall constitute a quorum.
ARTICLE
VII
The Executive Board
Section 1. The Directors shall constitute
the Executive Board.
Section 2. The Executive Board shall have general
supervisor of the affairs of the Club between it's business meetings, fix the hour
and place of meetings, make recommendations to the Club, and shall perform such other
duties as are specified in these Bylaws.
ARTICLE
VIII
Committees
Section 1. The Program Committee shall be formed
to plan, organize, and execute programs and agendas for the general membership meetings.
The Program Committee shall be chaired by a Presidential appointee.
Section
2. The Special Activities Committee shall plan and organize special activities for
the Club membership and the Huntsville Stars personnel. The Special Activities Committee
shall be chaired by the Club's Vice-President.
Section 3. The Club Accessories
Committee shall plan, organize, and administer accessory sales to Club members. Club
accessory sales will not conflict with stadium sales. The Club Accessories Committee
shall be chaired by a Presidential appointee.
Section 4. The Membership
Committee shall plan, organize, and execute programs for enlisting new members. The
Membership Committee shall be chaired by a Presidential appointee.
Section
5. The Communications Committee shall publish a monthly newsletter, serve as liaison
to public media, and inform the general membership of current activities. The Communications
Committee shall be chaired by a Presidential appointee.
Section 6. The Nominating
Committee shall nominate candidates for the officers to be filled at the regular
meeting in October. The Committee will provide the names of candidates for officers
to be filled at the regular meeting in September.
Section 7. Such other
committees, standing or special, shall be appointed by the President as the Club
or the Executive Board shall from time to time deem necessary to carry on the work
of the Club. The President shall be an ex-officio member of all committees except
the Nominating Committee.
ARTICLE IX
Parliamentary Authority
The rules contained in the current edition of
Robert's Rule of Order Newly Revised shall govern the Club in all cases to
which they are applicable and in which they are not inconsistent with these Bylaws
and any special rules of order the Club may adopt.
ARTICLE
X
Amendment of Bylaws
These Bylaws may be amended at any regular
meeting of the Club by a majority of the vote of attending members, provided that
the amendment has been submitted in writing at the previous regular meeting and published
in the monthly newsletter.
