STATUTE

I. General dispositions

Art. 1. The designation of the organization is: CULTURAL ASSOCIATION “THINKER” - INTELLECT CLUB NETHERLANDS. All the documents, announces, publications, correspondence, etc., emitted by the society, will be labeled for identification under this designation.

Art. 2. Cultural Association “Thinker” - Intellect Club Netherlands is a structure of Dutch juridical personality and it proceeds in its activity in conformity with its own Statute and the Dutch laws in vigor.

Art. 3. The administrative siege of Cultural Association “Thinker” - Intellect Club Netherlands is: De Kempenaerware 23, Zwolle 8014 RD.

Art. 4. The duration of the activity of Cultural Association “Thinker” - Intellect Club Netherlands is unlimited, beginning to officially manifest itself from the day of emission of the first legal statute.

II. Purpose

Art. 5. Cultural Association “Thinker” - Intellect Club Netherlands is an organization of education and culture, aggregated in an affable whole, having as a supreme end the emulation of the human with self. It cultivates, develops and exposes a philosophical system with physical and metaphysical character, which has the invigoration in whole plenty of the human entity as end, dynamising the potential of its somatic, soul and spiritual energies.

Art. 6. Cultural Association “Thinker” - Intellect Club Netherlands unites in an congruent, homogenous and isotropic whole the philosophy of metaphysical idealism with the philosophy of rationalist thought and desires to determinate the human entity that, by a qualitative spiritual leap, exits from the world of the influences of the Good-Evil dichotomy in order to transcend in the equilibrated plane of evidence, of soul peace and silence.

Art. 7. Cultural Association “Thinker” - Intellect Club Netherlands constitutes as an NON PROFIT organization.

Art. 8. Cultural Association “Thinker” - Intellect Club Netherlands does not imply itself in operative political activities and does not join partenerially any religious confession. The only zone in which it accedes with its full spiritual, moral and material force is the plane of reason, of analysis and synthesis of individual human manifestations or in structured configurations, exclusive products of the intelligence, quantified by variables’ movement, or of the intelligence of the continuous universe.

Art. 9. Cultural Association “Thinker” - Intellect Club Netherlands does not polemize adversatively, but only emulative with persons, organizations structures and systems regarding concepts, precepts, doctrines, theories, norms or laws, respecting the fundamental right of opinion and option. It respects the State order.

Art. 10. Cultural Association “Thinker” - Intellect Club Netherlands knows, studies, researches and develops the capacities of human intelligence in accordance with the energetic potentials specific to the avant-garde fields of the education and culture as: psychagogy, psychology, psychotronics, metapsychology, metaphysics, subliminal reactions, soul and spirit mystique, objectual or virtual reactions in the cause-effect individual or group rapports, existential jurisprudence, determinations of end and finality, archetypes of heretic persuasions, subconscious complinations of superstitious manifestations of the soul energies (sensation, sentiment, wish) and their structural rapport in emotional manifestations, etc.

Art. 11. Cultural Association “Thinker” - Intellect Club Netherlands accepts and cultivates collaboration, reciprocal help and mutual assistance relationships with any physical person or social structure that accedes by its activity to the spirit of the Universal Declaration of Human Rights and it manifests itself in all its enterprises with the mind that “nobody is above the law”, this law needing to be just, impartial and moral, without serving clan, cast or group interests. The relations between the parties are instituted by agreements, conventions or written contracts of interactive character.

III. The organizational structure
and the responsibilities

Art. 12. The Cultural Association “Thinker” - Intellect Club Netherlands is structured in conformity with the algorithm formatted in Annex no. 1. This way, it is configured on three functional levels: strategic, tactic and operational. The strategic level comprises:

a). The General Council of Cultural Association “Thinker” - Intellect Club Netherlands, constituted by the founding members, which represents the supreme forum;

b). The titular leader on the association, that is the Dean. The Senate and the Counselors on specific fields second him.

Art. 13. The tactic level comprises:

a). The executive leader, that is the Pro-Dean. He coordinates operatively the whole structure.

b). The Dean’s Office, that comprises the Secretariat and the directors of the five functional departments.

Art. 14. The operational level comprises:

a). Five departments designated as follows:

1. The CONCEPTION department;

2. The GNOSIS department;

3. The ANALYSIS and SYNTHESIS department;

4. The HIERARCHICAL STAGES department;

5. The TECHNICAL-ECONOMICAL department.

b). The three stages that comprise the whole activity of the association, directly coordinated by the Department Hierarchical Stages. The three stages are:

1. The ELITIST-MAN OF SPIRIT stage;

2. The ARISTOCRAT-RATIONALIST stage;

3. The SYMPATHIZING-ELEVATED stage.

Art. 15. The five constitutive departments of the operational level comprise the sections described in Annex 1.

Art. 16. The three stages comprise the sections précised in Annex 2.

Art. 17. Through the Functioning and Organizing Regulations (F.O.R.) are instituted the relations and the interactive forms between the three levels: Strategic, Tactic and Operational. Their functionality is governed in conformity to the specific responsibilities. The definition and the description of responsibilities exist comprised in Annex 3.

Art. 18. The Strategic level has the following responsibilities:

Art. 20. The Operational level has the following responsibilities:

Art. 21. The whole activity of Cultural Association “Thinker” - Intellect Club Netherlands is governed by the Functioning and Organizing Regulations (F.O.R.), which contain the functional organigrams, relations, rapports and descriptions of the conduct conditions of the whole system. The responsibility for the governing of functions devolves to the General Council, which is summoned in its plenum in ordinary session once a year. The extraordinary session meetings are determined by imperative necessities. These can by convoked by the Dean and by the Pro-Dean following the fundamented solicitation of the Dean’s Office. The solicitation will be written and will be deposed to the Secretariat, which has the responsibility of organizing the sessions (ordinary or extraordinary) in term of 30 days from the convocation ordered by the Dean and the Pro-Dean. In case of divergence of opportunity of convocation of extraordinary session of the General Council, manifested between the Dean and the Pro-Dean, the Senate intervenes as arbiter.

Art. 22. The founding members, who constitute the General Council of the Cultural Association “Thinker” - Intellect Club Netherlands, remain in this function on the length of their whole life, with the exception of the cases provisioned by art. 36.

Art. 23. The General Council of the Cultural Association “Thinker” - Intellect Club Netherlands elects from its own rank the persons that will occupy the function of Dean and Pro-Dean on a period of 7 years. The election is held by secret vote and it is valid if the elected one summons the simple majority of the quorum, which is 2/3 of the total number of the founding members. The Nominal table, contained in the association agreement, reveals their number.

Art. 24. The Dean, together with the Pro-Dean format the portfolio of presentation and the letter of invitation in relation of association for those that will constitute the Senate. This is formed by mark personalities of the public social, cultural and spiritual life which have signed a letter of admission in Intellect Club Netherlands and have compensated the registration fee.

Art. 25. A commission of 5 members is formed under the coordination of the Dean’s Office from the members of the Senate, which designates the counselors on specific fields. Beforehand, the candidates to the position of counselor will sustain a test of promotion in the function. The elements of the specific tests are formatted in the Annex no. 2 of F.O.R.

Art. 26. The Dean’s Office nominates from the members of the counselors on specific fields the five directors of the departments. The nominations are valid for an unspecified period. The change from office of a director is produced in one of the following cases:

— decease

— demission

— professional incapacity. This is fundamented by a report of the Pro-Dean towards the Dean, advised by the counselor of that specific field and validated by the General Council. Till the definitive decision, the director retains his position.

Art. 27. The Dean’s Office nominates the sections’ chiefs (the sections being specified in Annex 1). A section’s chief can lead one or more sections, function of his capacity. Their nomination is done under the conditions of art. 25.

Art. 28. The Dean’s Office nominates magisters as governors of the three stages. Each magister can approach one or more fields, function of his capacity. Their nomination is done under the conditions of art. 25.

Art. 29. The Secretariat is formed by a number instituted according to the necessities by the Dean's Office.

IV. THE MEMBERS — rights and obligations

Art. 30. Any major person in full possession of his mental faculties, regardless of nationality, citizenship, race, sex, political position or religious beliefs may become a member of the Cultural Association “Thinker” - Intellect Club Netherlands if he signed the Request of access to Intellect Club Netherlands, if he paid the afferent tax and if he passed the test of access in one of the three stages. The test is provided in Annex 3 of F.O.R.

Art. 31. The members of the Cultural Association “Thinker” - Intellect Club Netherlands are cataloged in three categories:

a). Founding members;

b). Associated members;

c). Attached members.

Art. 32. The founding members are those who subscribed to the foundation of the association. They constitute the General Council. The associated members are those who have access in one of the three stages, studying and participating to all activities specific for the respective stage. They manifest personal initiatives according to F.O.R. The attached members are those persons who are in the perspective of acceding to the stage of Elevated-Sympathizing, being comprised, in the first instance, in preparing study groups.

Art. 33. Each member pays a monthly due.

Art. 34. Each member has an unlimited access to the informational, knowledge, study and preparation capacities, specific to each stage. The information is acquired successively, in the measure it is assimilated. Function of necessities and the preparation level of one’s own intelligence, the members will be drawn into the entire activities characteristic to the association on access stages.

Art. 35. Any of the associated members of the stages “Elitist - Man of Spirit” and “Aristocrat - Rationalist” can be promoted in the General Council of Cultural Association “Thinker” - Intellect Club Netherlands when a place rests vacant.

Art. 36. The loss of the quality of member of the Cultural Association “Thinker” - Intellect Club Netherlands can be produced in the following circumstances:

a). By decease

b). Upon request.

c). Following manifestations of revealed hostility at the address of the Cultural Association “Thinker” - Intellect Club. The specific procedure of application and interpretation of hostile manifestations is found in F.O.R.

Art. 37. At the moment in which a member of the Cultural Association “Thinker” - Intellect Club Netherlands considers himself a thorough connoisseur of the stage to which he belongs, can solicit the access to the superior stage. The access way is regulated by F.O.R.

Art. 38. Each member of the Cultural Association “Thinker” - Intellect Club Netherlands is bound to strictly respect the statute provisions, the Functioning and Organizing Rules and the Internal Order Rules.

V. Final and transitory dispositions

Art. 39. The ways of material support for Cultural Association “Thinker” - Intellect Club Netherlands are constituted by the following resources:

— Members’ due;

— Donations;

— Subscriptions;

— Tariffs for specialty papers.

Art. 40. In terms of 60 days from obtaining the juridical personality, the Dean’s Office by the Conception Department will elaborate the Functioning and Order Regulations and the Internal Order Rules specific to each stage.

Art. 41. Cultural Association “Thinker” - Intellect Club Netherlands is an autonomous branch of Asociaţia Culturală “Gânditorul” - Intelect Club România. It develops and organizes branches inside and outside the country with the agreement of specific legislation.

Art. 42. The Cultural Association “Thinker” - Intellect Club Netherlands constitutes following the decision of the initiative group, mentioned in the verbal process drawn with this occasion.

Art. 43. In the first legislature, the function of Pro-Dean will be attributed to the person mandated by Mr. LUCIAN IORDĂNESCU, which is the initiator and the elaborator of the concept of Intellect Club, joined in a Cultural Association with empathic predisposition towards thinking and reason, named “Thinker”. The person which is mandated for this function is Mr. TUDOR GEORGESCU.

Art. 44. All the constitutive documents of Cultural Association “Thinker” - Intellect Club Netherlands can be added, modified or replaced only by the General Council, joined in quorum of 2/3 of the total number of members, which adopts decisions with simple majority.

Art. 45. The function of Dean and of Pro-Dean may be occupied only by the persons who are members of the General Council.

Art. 46. The Dean and the Pro-Dean may hold their functions for a maximum of two legislatures, regardless of how many years they occupied the position in a legislature.

Art. 47. The Cultural Association “Thinker” - Intellect Club Netherlands has its own distinguishing marks, its own sigil, specific stamp and musical hymn.

Art. 48. The sigil of the Cultural Association “Thinker” - Intellect Club Netherlands is constituted by the stylized image of the pre-Dacian statuette named “Thinker of Hamangia”.

Art. 49. The initiative group will elaborate the invitation letter to association relationship for the founding members.
