By Laws
Article I: Name
This association shall be named Unique
Petites Pygmy Goat Club.
Article II: Objectives and Purpose
As a non-profit organization, the
objectives will be the following:
1. To promote the Pygmy goat breed among our members and
the general public.
2. To encourage communication, fellowship, and sharing of knowledge among our
members, all Pygmy owners, and the
general public.
3. To sponsor a minimum of one show per year, with emphasis on fun and
fellowship.
Article III: Membership
1. Membership entitles the
holder to a copy of the club by laws.
2. Membership is available to any person/household who completes an
application agreeing to the by-laws and pays membership dues to the
treasurer.
3. Membership includes one vote per single membership or two per family
membership. Associate memberships do not have voting rights.
4. Members in violation of good behavior can be voted out of the
organization. The quorum for such will be at least ten voting members.
5. All rights and privileges of membership terminate upon termination of
said membership.
6. Membership endows member discounts at UPPGC sponsored shows.

Article IV: Dues
-
Annual dues for this
organization are as follows:
-
Family (two votes) -
$20.00

Single (one vote) -
$10.00

Youth [18 yrs old and
under] (non-voting) - $5.00

Associate (non-voting) -
$7.00
-
Membership fees are due on
the anniversary date of the joining of the organization.
-
Membership is empowered to
change the amount of annual dues with a majority vote of at least six members
present.
Article V:
Meetings
-
Business meetings shall be
held at least twice a year open to all members.
-
Officers must attend at
least 50% of all club functions, including business meetings, public meetings,
and shows.
-
Public meetings where
officers, members, and the general public are invited to attend are called as
deemed necessary.
Article VI:
Elections
-
Officers will be elected
August of each year.
-
All members will be sent
notice and a ballot at least thirty days before an election.
-
The minimum number of
votes required to validate an election will be six.
-
Voting will be in person,
by handwritten absentee ballots, or proxy votes. Votes not submitted in person
must be post-marked no later than seven days from the date of the election to
be considered valid.
-
It will be considered the
members intent is to abstain on issues when a ballot or vote is not returned.
Article VII: Newsletters
-
The newsletter entitled
Hoof Prints shall be published four times a year.
-
The newsletter shall
include an updated membership roster at least once a year.
-
A business card sized ad
will be published for each member for free.
-
"For Sale" ads from
members will be published in the newsletter for free.
-
Business or commercial ads
will be published in at the following per-issue rates:

In the event that more
than four issues of the newsletter are published within an ad year, then ads
paid for yearly will be printed in the additional editions of the newsletter
at no additional costs.
Article VIII: Liability
Club members
agree not to hold the Unique Petites Pygmy Goat Club, its members, or officers
liable for any loss or injury of any kind, be it human, animal, or property,
while participating in any club functions or conducting any club business.
Article IX: Officers
-
Elected officers of this
organization shall be President, Vice President, Treasurer, Secretary, Show
Secretary 1,and Show Secretary 2.
-
Election of officers
will be held annually.
-
Officers will serve a
term of one year.
-
If an officer resigns
from office, a special election will be called by the president to fill the
vacancy.
-
An officer can be
removed from office for cause upon a vote of 2/3 of the members in good
standing.
- Duties of the officers are as follows:
A.
President
-
Preside over meetings when
present.
-
Review treasurer's
financial reports and bank statements at least four times a year, once at the
start of each of the following months: January, April, July, and October.
-
Ensure that all officers
complete their assigned duties in a competent and timely manner.
- Ensure that all president records are retained and
maintained in an orderly fashion.
B. Vice
President
-
Assume duties of president
whenever the president is unable to perform said duties.
-
Responsible for club
Public Relations. These responsibilities include the following:
-
Announcements to area
papers of club events.
-
Seek out and promote in
all areas available for promotion.
-
Forward copies of all
outgoing correspondence to club secretary to be retained in club files.
- Ensure all Vice President records are retained and
maintained in an orderly fashion.
C. Treasurer
-
Keep an account of all
monies received and bills authorized.
-
Provide president and
secretary with biannual financial reports for presentation at business
meetings.
-
Provide secretary with
current list of members and their anniversary dates to be published in the
newsletter.
-
Balance checkbook with
monthly bank statements.
-
Inform President
immediately if any fund discrepancies are discovered.
-
Provide President with
monthly overview of funds status.
-
Balance club ledger
quarterly and hold review with club President.
-
Maintain club ledger per
written club Treasurer guidelines.
-
Maintain all records in an
audit-ready status.
- At the end of each month, the Treasurer will forward
a copy of all new membership applications to the secretary.
D. Secretary
-
Keep the minutes of all
business meetings.
-
Responsible for club
correspondence.
-
Review treasurer's
financial reports and bank statements at least twice a year.
-
Maintain records of club
memberships, meeting minutes, financial statements, and by-laws.
-
Publish and mail quarterly
newsletters to all club members.
- Ensure all club correspondence and club records are
retained and maintained in an orderly fashion.
E. Senior Show
Secretary
-
Handle Judge Logistics
-
Contact Judges voted on
for upcoming shows
-
Ensure judge contract is
forwarded and returned
-
Arrange judges
transportation
-
Arrange for judges local
transportation during stay
-
Arrange hotel
accommodations
-
Arrange for judges meals
-
Notify treasurer of judges
fee for payment at show

Fill out NPGA show
sanction form and forward to NPGA
-
Request scheduled show be
listed on NPGA website.

Prepare show class
schedule to be submitted with sanction form

Order additional ribbons
-
Prepare show packages for
mail out 6 weeks prior to show date.

Work directly with club
vice president on advertising the show.

Check in arrivals at
scheduled shows and fill out NPGA required documents
-
Prepare show program.
-
Arrange photographer for
show wins.
-
Submit all show expenses
to Treasurer for payment.
-
Senior Show Secretary will
select the Assistant Show Secretary. The Assistant Show Secretary appointment
will be ratified by a majority vote.

Will delegate
responsibilities to the Assistant Show Secretary.
-
Update club President
regularly on progress of show planning.
F. Assistant
Show Secretary
G. Webmaster
-
Keep Club Website
up-to-date and factual.
-
Update Club Website
membership roster and Breeder's List at least monthly.
-
Upload Club information as
needed.
H. Historian
-
Maintain club scrap book.
-
The Historian will not be
required to attend all Club events. A Club member designated by the President
will provide the Historian information following any Club event in which the
Historian is absent.
I. Public
Relations Officer
-
Publicize Club events with
appropriate Newspaper, TV Stations, Radio and other media.
-
Seek out and promote in
all areas available for Club promotion.
-
Forward copies of all
outgoing correspondence to Club Secretary to be retained in Club files.
Article X: Address
The address of
this organization shall be that of the president and/or treasurer.
Article XI: Amendments
1. Proposed amendments shall
be published at least thirty days prior to the business meeting in which they
will be presented for vote.
2. The amendment shall be adopted after receiving a majority vote where a
quorum of six voting members has been met.
Article XII: Funds
1. All funds shall be
deposited into the account of the organization and shall be dispersed as needed
for the expenses and activities as voted on by the membership.
2. All check and cash withdrawals from the account shall be signed by 2
persons the treasurer and the president.
3. The active Treasurer shall be the primary authorizing agent in handling
this account. The active president is also authorized to make transactions.
4. No reimbursement payments will be paid without accompanying receipts.
5. Members will be liable for the amount of returned checks due to
insufficient funds along with any and all bank fees.
Article XIII: Dissolution
In the event that Unique Petites disbands, all funds and
assets, after all debts and liabilities are satisfied, will be donated to the
National Pygmy Goat Association.
