| Article IV Executive Board Section 1 - The Executive Board shall be composed of 11 voting members, each representing one of Utah’s 11 accredited colleges and universities at which a CDU chapter has been organized. Each chapter shall have the responsibility to appoint a member to the Executive Board. Section 2 - The standing officers of the Executive Board shall be the State Chair, First Vice Chair, and Second Vice Chair. The Executive Board shall have the power to designate additional officer positions among its members on an as needed basis. Section 3 - The Executive Board shall have responsibility for determining the direction and goals of the CDU and governing its activities. The Executive Board shall have the power to create ad hoc committees for the purpose of achieving the goals of CDU. Section 4 - Each CDU officer may appoint such assistants as he/she deems necessary for the successful completion of his/her duties. Such appointees shall serve at the appointing officer's direction. Section 5 - The officers of the CDU shall be chosen s follows: All Executive Officers shall serve one (1) year terms. Executive board members must be enrolled at their respective universities during the calendar year which they are elected. Executive Board members who withdraw from their respective universities, may remain on the Executive Board with unanimous approval of the Executive Board 5.2. The terms of the Executive Officers shall begin upon adjournment of the State Convention at which the terms are filled. 5.3. Elections shall be held at each CDU state Convention within the guidelines specified below: 5.3.a. a simple majority of the legal votes cast shall be required for election to a CDU office; 5.3.b. all elections shall be held by secret ballot; 5.3.c. only members registered with CDU may have full voting power as a delegate; 5.3.d. all candidates for CDU state-wide office shall not exceed $50 in campaign expenditures. The Executive Board shall have the power to audit campaign expenditures. Section 6 - A vacancy shall be declared when a member of the Executive Board dies, resigns, or is removed from Office. 6.1. Vacancies occurring in CDU offices shall be filled according to the following procedures: 6.1.a. Should the Chairmanship be vacated, The First Vice Chair shall become the Chair until the next CDU State Convention, at which time a successor shall be elected for the new term. In such an event, the Second Vice Chair shall become the First Vice Chair. 6.l.b. Should a CDU office other than the Chair and First Vice Chair be vacated the Executive Board shall elect a replacement from among its remaining members. 6.1.c. In the event a college’s representative on the Executive Board vacates their seat, the members of that college’s chapter shall appoint a new representative to complete the term. Section 7 - All CDU officers, whether elected or appointed, shall be subject to removal from office for misconduct, negligence of constitutional duties, within reason, being convicted of felony while in office, or failing to attend two (2) consecutive meeting of the Executive Board without acceptable excuses deemed by a majority of the Executive Board present when absence occurs. 7.1 To begin the process for removal, another member of the Executive Board must charge the officer with the reasons for their removal, in writing, at least 30 days before the Executive Board meeting at which the officer's removal will be voted upon. Each voting member the CDU Executive Board must receive the written charges at least 30 days prior to the Executive Board meeting at which the officer's removal will be decided by vote. 7.2 The accused shall have the right of counsel, shall receive written notice of the charges against him/her at least thirty (30) days prior to the meeting at which the vote shall be taken, and shall have the right to refute the evidence against him/her prior to the vote at the meeting at which the vote shall be taken. 7.3. A four-fifths (4/5) majority vote of the seated Executive Board shall be necessary to remove an elected officer from office. Section 8 - The Executive Board shall meet at least quarterly. Locations for the meetings will be determined by the Executive Board. A written petition by a majority of the chartered chapters can also make the Executive Board meet. Meeting notices must be mailed at least 14 days prior to the meeting to all voting and ex-officio Executive Board members. Section 9 - Any CDU member may attend and speak at a CDU Executive Board meeting. Section 10 - A quorum of the Executive Board shall be noted when a minimum of four Executive Board members are present in person or by speaker phone. Proxies shall be allowed. No Executive Board member shall possess or exercise more than one (l) vote on any question. Section 11 - The First Vice Chair shall compile and publish the minutes of the Executive Board Meeting, and shall distribute the minutes to all members of the Executive Board and all chapter chairs with in fourteen (14) days of the conclusion of the appropriate meeting. |
