Many people ask - what is the Board of Directors good for?

After all, if you look at what is actually happening, you see the management making decisions and employees doing the job. The Board of Directors convenes periodically and usually only approves management actions or chooses from a limited set of options.

This is much like the way a country works.

Government makes the decisions, government employees and its armed forces carry the decisions and hope the country will do just fine. Periodically, we - the people - are called in to voice our opinions. In most cases we have a limited choice and we choose accordingly.

Now when is the Board really important?

When management can't function. When its actions put the country - sorry - the company, and the stake each of the citizens - sorry - investors - has in it, at risk. Then, a good Board will cut right through. Take control of the company, get rid of any ill-functioning CEO and all the money and time consuming VPs and just build the damn thing from scratch.

This is what a Board is for.

And its time to hold a Wadi Board meeting.
