Constitution and By-Laws of the Miniature Aircraft Society of Haywood

 Article I Name
 
Section 1. This Society shall be known as the Miniature Aircraft Society of Haywood.

 Article II Purpose
 
Section 1. The purpose of this Society shall be to promote the high standards of model aviation through safety, education, and training. To educate both its members and the general public about the model aviation hobby through programs and regular monthly meetings with occasional static exhibits and flying events.
Section 2. No substantial, as defined in IRS publication 557, part of the Society funds shall be used to engage in political activities or to lobby to influence legislation.
Section 3. Upon dissolution of this Society, all assets shall be given to charity.

 Article III Officers
 
Section 1. The officers of this Society shall be: (1) President, (2) Vice President-Public Relations, (3)Secretary (4)Treasurer, (5) Newsletter Editor, (6) Field Marshal
Section 2. The term of officers shall be:
A. Officers shall be elected yearly in the month of March and take office in April.
Section 3. Duties of the officers shall be:
A. President (1) shall preside over all meetings, (2) be Society spokesperson, (3) shall act, with the approval of the board, to appoint standing and special committees, (4) shall uphold the Constitution and By-laws of this Society and perform such other duties as are normally prescribed for such office, (5) shall be ex officio member of all committees except the nomination committee.
B. Vice-President - PR (1) shall perform the duties of the President in his/her absence and handle public relations.
C. Secretary (1) shall keep a complete record of all actions taken at meetings, to include date, time, place and number of members and guests present, and all motions made by whom and by whom seconded, (2) shall read the minutes of the previous meeting for correction and approval, (3) shall handle all Society correspondence.
D. Treasurer (1) shall receive and have custody of all funds for this Society, (2) maintain records of account subject to audit, (3) disburse funds, when needed, with checks signed by the treasurer and/or president, (4) shall have custody of the master list of membership, (5) shall submit a complete financial report at the close of the fiscal year ending in December.
E. Newsletter Editor (1) shall handle all business concerning the newsletter.
F. Field Marshal (1) shall create and maintain flying field safety guidelines and rules to ensure safety (the guidelines and rules to be voted upon by the membership of this Society for approval), (2) shall appoint any committees needed to help with field maintenance.
Section 4. Eligibility, Nomination, Election.
A. Any member of this society, in good standing, who is not an elected official of another R/C club/association and has retained active membership for at least two consecutive calendar years, is eligible to hold office if he/she has attended five regular meetings of the year prior to election.
B. Nomination of officers shall be by the general membership at the regular February meeting. Election of nominees will be held at the regular March meeting. (additional nominations/elections may be made at the March meeting)

 Article IV Board
 
Section 1. The board of officers shall consist of elected officers. The president or any two board members may call a special Board meeting as deemed necessary. Board members unable to attend must contact the president, prior to meeting, giving their reasons.
Section 2. The board of officers may override any membership vote should the board decide it would be in the best interest of this Society to do so. The Board may not override a vote by the membership if that vote was a consensus. A consensus being a vote taken by all paid members of this Society.
Section 3. Since the Investor members hold the financial liability of the field lease the club flys from, they may override any and all votes concerning the financial liability and viability of the MASH club

 Article V Membership and Dues
 
Section 1. Membership is open to all persons who are interested in the Model Aviation hobby, however the board retains the right to deny any application or revoke the membership of anyone, without compensation, should the board decide it would be in the best interest of this Society to do so.
Section 2. Membership is granted to anyone who has filed an application for membership, presented proof of *AMA membership, submitted dues, and is approved by the Board of Officers.
Section 3. Dues shall be set by the membership yearly in the month of June and shall be paid by November 30 in order to be a member in good standing during next fiscal year January through December.
Section 4. Dues or donations paid to this Society shall not be refundable.
Section 5. The yearly membership period shall begin on January 1 and expire December 31.
Section 6. A member in good standing, having financial hardship and cannot pay dues for next fiscal year, may contact the Board of Officers to make this known. The Board of Officers shall have the right to make easements in said situations.
Section 7. There shall be five membership types of this Society:
A. Individual- a person over 18 years of age applying for membership for himself/herself only.
B. Family- a married person applying for membership for himself/herself and spouse and any dependents, still in school, of same household.
C. Investor- A person who has paid his her dues AND has signed a guaranteed payment of any lease (along with any other members who have signed as guarantors of a lease obligation's being met) on a flying field that the Society may lease for a period of more than one year.
D. Sponsor- A business or individual that wishes to support the MASH club financially. Sponsor dues will be set at $75.00 per year. This membership is welcome to all club activities. This is a non voting, non flying membership.
E. Associate- An individual that wishes to be a part of the club and its activities. Associate dues will be set at $25.00. This membership is welcome to all club activities. This is a non voting, non flying membership.
Section 8. Every person who has paid the annual dues and shown proof of *AMA membership, shall be a member in good standing, and will be allowed one vote at the Society's functions. In Family memberships, only one vote shall be cast for the Family.
Section 9. All persons flying miniature aircraft at the Society's flying field(s) shall be a member in good standing with *AMA.
Section 10. All members of this Society and guests of the Society shall obey all MASH and *AMA rules and regulations while operating miniature aircraft at this Society's field(s).

Article VI General

Section 1.
No member of this Society shall make or cause to be made any contract whatsoever that may cause any financial obligation to the Miniature Aircraft Society of Haywood except on the authority of a majority vote of the Investor members
Section 2. This Constitution and By-Laws may be amended after a report of said change(s) has been recorded for a period of thirty days and approved by a two-thirds majority vote cast by members present at a regular monthly meeting.
Section 3. Robert's Rules of Order (revised) shall be the parliamentary authority of the Society and shall prevail where By-Laws of this Society do not.
Section 4. A written report of an offending member may be presented to the Board of Officers by any member. This report will then be presented to the offender by the Board of Officers. If a solution is not found to resolve the offense, then the Board of Officers may decide to revoke the offending members membership if the Board decides it would be in the best interest of the Society to do so.

Amendments to this Constitution and By-Laws
 
Amendment 1. Dues: Starting on January 1, 1990, the dues for individual membership shall be $60.00 annually. The dues for family membership shall be $60.00 annually.
Amendment 2. Associate Membership: Starting on August 1, 1991, the dues for Associate Membership shall be $20.00 annually. This will be a non-flying membership. This membership shall be exempt from membership limits.
Amendment 3. Dues: Starting on January 1, 1993, the dues for individual membership shall be $85.00 annually. The dues for family membership shall be $85.00 annually.
Amendment 4. Junior Dues: Starting on January 1, 1993, the dues for Junior members will be set at $50.00 with no Initiation fee.
Amendment 5. Starting on February 1, 1993, the office of Field Marshal and Safety Officer will be appointed by the Board of Officers.
Amendment 6. Starting on January 1, 1993, there will be an initiation fee of $135.00 for all new members. Existing members will pay this fee ($135.00) on a one time basis. This fee will be reimposed if there is a lapse in membership without making arrangements with the Board of Officers.
Amendment 7. Starting on September 1, 1993, the initiation fee of $135.00 will be dropped.
Amendment 8. Starting on September 1, 1993, the dues will be pro-rated for new members only. The rate will be computed as the yearly dues, divided by 12, times the number of months left in the year including the month of payment.
Amendment 9. Starting on January 1, 1994, the dues will be set at $100.00 per year.
Amendment 10. Article I Name, section 2.-Elimination of meeting restrictions.
Amendment 11. Article III Officers, Section 1.-Combination of officer positions.
Amendment 12. Article III Officers, Section 2. sub-section B.- Eliminate term limits.
Amendment 13. Article III Officers, Section 3. sub-section G & H- Delete because of combining Officer positions.
Amendment 14. Article III Officers, Section 4. sub-section B. Elimination of nominating committee
Amendment 15. Article III Officers, Section 4. sub-section B. Elimination of County of residence. Addition of 2 year requirement for eligibility.
Amendment 16. Article IV Board, Add Section 4.Since the Investor members hold the financial liability of the field lease the club flys from, they may override any and all votes concerning the financial liability and viability of the MASH club.
Amendment 17. Article V Membership and Dues, Delete junior membership and add memberships Investor, Sponsor, and Associate.
Amendment 18. Article V Membership and Dues, Eliminate membership cap.
Amendment 19. Article VI General, Section 1, Change wording to reflect a majority vote of Investor members.
Amendment 20 Article V Membership and Dues, The Society membership shall be limited to 35 active members.
Amendment 21 Article V Membership and Dues, The club dues for the year 2002 will be $200.00
