Meeting Minutes  08/24/2002 (Unapproved)
                                           

The meeting was called to order by Carl Zipfel at 10:20 AM.


Officers and Trustees present:  Steve Sapp, President/Trustee
                                                   Sue Marr, Treasurer/Trustee
                                                   Carl Zipfel, Declarant/Trustee


Quorum count:  108 homeowners present or represented by proxy.  Two lots signed in that have not been made members of BHOA under the Declaration.

Quorum Requirement: 2/3 of 119 = 80.

Meeting moderated by Carl Zipfel and Sue Marr.

Topics on the Agenda to be voted on:

   1.   Proposal to File Lawsuit against Developer.

   2.   Merged Lot Proposal

   3.   Trustee Election



7/21/02 Minutes were neither read nor approved pursuant to Trustees’ determination that it was unnecessary for a Special Meeting, without quorum.  Discussion took place regarding the previous meeting minutes. 


The Trustees chose to address the Lot Merger Proposal first.  Lew Beyer reviewed the proposal.  Discussion ensued.   Motion made by Carl Zipfel, seconded by Sue Marr, to adopt the proposal.  A vote was taken by written ballot:  Ayes 46, Nays 64.  The Proposal failed.


The lawsuit against the developer was addressed next.  A presentation was made by Cindy Schulz and Bob Speck.  Discussion ensued.  Motion was made by Mary Beth Eisman, and seconded by Rick Schulz, to budget up to $27,000, payable in 2 annual installments of $150/lot for 2002 and 2003, for litigation to protect BHOA’s claims to certain land parcels and for damages for certain actions and failures of Baycliffs Corporation with respect to the Baycliffs development.  The vote was taken by written ballot, and the proposal was carried by the required majority.  Trustee Carl Zipfel suggested that the ballots be destroyed after the vote was taken.


Sue Marr and Steve Sapp confirmed their resignation as Trustees as stated in the formal notice of the Association meeting.  Contrary to the provisions of the formal notice, which stated that both positions would be elected at the meeting, Trustee Carl Zipfel then claimed the right to appoint one of the vacancies pursuant to the Declaration.


Pursuant to a point of order, Mary Beth Eisman moved, and Rick Schulz seconded, for the Association to elect 3 new Trustees pursuant to Article 4.4 of the Code of Regulations of  BHOA.  A heated debate ensued.  The question was called, and a vote taken by roll call.  Ayes were 55, Nays 38, Abstentions 7.  Pursuant to the Code of Regulations, the motion carried.


Nominated were Rick Schulz, Joan Sturgill, and Sue Marr.  A motion was made to close the nominations and call the question.   A vote was taken.

            Sue Marr (67 votes) was elected to a 3-year term.
            Rick Schulz (60 votes) was elected to a 2-year term.
            Joan Sturgill (52 votes) was elected to a 1-year term.
