Standing Rules
of Order


Article I – Membership

Section 1    Membership in the organization shall be open to any individual twenty-one (21) years of age or older, who understands and supports the Statement of Purpose, Creed, and Give A Damn Statement as defined in the Constitution of the organization.
 
Section 2     Applicants for membership shall be of good character, compatible with the social tenor of the organization, and shall share an interest in the Leather lifestyle and related interests.

Section 3    Individuals may apply for two classes of membership:  Full and Associate.  The organization reserves the right, unto itself, to designate Emeritus, Honorary, and Ambassador classes of membership.
 
Section 4     Individuals seeking membership should make contact with the Pledge Master to make their interest known. Applications shall not be accepted without accompanying fees as outlined in the Standing Rules of Order.

Section 5    Individuals seeking Full Membership must undergo a pledge period as outlined in the Standing Rules of Order.  The pledge period is a time for the individual and the group to become acquainted.  There will be no hazing, no forced or demeaning action, and no sexual harassment during this pledge period.

 
Article II – Dues

Section 1    All members shall upon admission into the organization pay an initial membership fee.  This fee is set forth by the Standing Rules of Order and is non-refundable.

Section 2    The amount of annual dues shall be set forth by the organization as outlined in the Standing Rules of Order.  Annual dues are payable to the Treasurer prior to the anniversary of the organization.


Article III – Voting Privileges

Section 1    Only Full Members have the privilege to vote.

Section 2    A voting member is a Full Member in good standing as defined in the Standing Rules of Order.

Section 3    The Full Members shall enjoy the privilege to vote on all matters of business, admission of new members, and election of Officers.

Section 4    Voting procedures shall be set forth in the Standing Rules of Order.


Article IV – Meetings

Section 1    There shall be five types of meetings.  These include Regular Business, Special, Bar Night, Committee, and the Run.

Section 2    Regular Business meetings shall be scheduled at the end of each months regular business meeting for the following month. Attendance is required except as outlined in the Standing Rules of Order.

Section 3    Any Officer can call Special meetings.  A notice of one week prior to the meeting must be given to the membership.  Attendance is required except as outlined in the Standing Rules of Order.

Section 4    Bar nights shall be scheduled at least quarterly. Attendance is required except as outlined in the Standing Rules of Order.

Section 5    The chairperson of the committee schedules Committee meetings.  Two-thirds (2/3) of the committee members must be present to transact any business.

Section 6    The club shall hold a bi annual run.  All members are required to attend.  Exceptions are made only in the most serious of situations.

Section 7    No business shall be conducted at Regular meetings unless a simple majority of the voting membership is present.  Unless previously specified in these By-Laws or Standing Rules of Order, a simple majority of the voting membership must be present to transact business at other types of meetings.


Article V – Officers and Elections

Section 1    The officers of this organization shall be:  President (Hall), Vice President, Secretary, Treasurer, Pledge Master, Road Captain, and Member-At-Large. They shall be elected for a term of 2 years.

Section 2    Any Full member, in good standing, of the organization may be nominated and elected to any office.

Section 3    Any Full member of the organization nominated for an office may decline the nomination.

Section 4    Nominations for officers shall be held at the regular business meeting in January.

Section 5    Election of officers shall be held at the regular business meeting in February and shall be by secret ballot from the list of names placed in nomination.  A simple majority vote of the Full members present and voting is required to elect each officer.

Section 6    The officer(s)-elect shall take office on or before the March general meeting.

 
Article VI – Duties of the Officers

Section 1    The President (Hall) is the principal Executive Officer of the organization.
a. He shall preside at all meetings and functions of the organization.
b. He shall present the current agenda at the scheduled meetings.
c. He shall exercise general supervision over the affairs of the organization.
d. He shall appoint any committees deemed necessary.
e. He shall serve as ex-officio member of these committees.
f. He shall appoint any advisors he deems necessary.
g. In the absence of the Treasurer, he shall sign checks in payment of organizational obligations.
h. He shall perform all duties incidental to Office of President and other duties as may be assigned by the Executive Board or Membership   
Section 2    The Vice President.
a. He shall preside at all membership meetings in the absence of the President, as well as carrying out the duties required of the President in accordance with the Standing Rules of Order.
b. He shall maintain the attendance record and note attendance for voting privileges
c. He shall set forth the calendar of events
d. He shall handle the counting of votes.
e. He shall serve as Co-Chair of the Run Committee.
f. He shall perform all duties to the incidental to the Office of Vice President and other duties as may be assigned by the Executive Board or the Membership.
Section 3    The Secretary.
a. He shall record all meeting minutes and make copies available to the membership in a timely fashion.
b. He shall compose and send all club correspondence.
c. He shall maintain and make available the Minutes Book and the Book of Resolutions.
d. He shall maintain and make available accurate updated copies of the By-Laws and Standing Rules of Order.
e. He shall maintain and make available the yearly Run calendar, Club address list, and other mailing lists.
f. He shall prepare and file all required Federal, State, and Local documentation, other than financial records.
g. He shall perform all duties incidental to the Office of Secretary and other duties as may be assigned by the Executive Board or the Membership.
Section 4    The Treasurer is the principal accounting and financial Officer of the organization.
a. He shall maintain and make available accurate financial records for the organization.
b.  He shall collect dues from members as outlined in the Standing Rules of Order and shall keep these funds in a bank.
c. He shall disburse funds in payment of all obligations agreed upon by the organization.
d. He shall prepare and distribute financial statements to the membership.
e. He shall prepare and file all required Federal, State, and Local financial documentation.
f. He shall perform all duties incidental to the Office of Treasurer and other duties as may be assigned by the Executive Board or the Membership.
Section 5    The Pledge Master.
a. He shall maintain and make available complete, updated membership and mailing lists providing for their confidentiality as outlined in the Standing Rules of Order.
b. He shall produce and distribute appropriate materials and application forms pertaining to all classes of membership.
c. He shall receive, review and process all applications for membership, and shall submit such applications to the Executive Board and the Membership for approval.
d. He shall serve as Chair of any membership committee.
e. He shall inform all Pledge members of their responsibilities to the organization.
f. He shall monitor and instruct each Pledge.
g. He shall report the progress of pledge project.
h. He shall uphold the rights of Pledges to the membership.
i. He shall act as primary reference point for Pledges.
j. He shall perform all duties incidental to the Office of the Pledge Master and other duties as assigned to him by the Executive Board or the Membership.
Section 6    The Road Captain.
a. He shall supervise the activities of the members when wearing their colors during both in-town and out-of-town activities.
b. He shall bring any member’s name before the club if he observes or feels the member is not attending to his duties or is publicly dishonoring the club and the colors by word or action.
c. He shall ensure that functions in-town and out-of-town are properly attended and shall assign appropriate duties to members with particular emphasis on beer busts, cocktail parties, and runs.
d. While the President or Vice President are the Leaders of the Delegation at all out-of-town events, the Road Captain shall be responsible for the delegation.
e. In the absence of the President or Vice President at a run, the Road Captain or his designate shall act on behalf of the President as the Leader of the Delegation.
f. He shall ensure the smooth functioning of the delegation and shall make routine decisions in regard to safety, duties, and participation.
g. He shall perform all duties incidental to the Office of Road Captain and other duties as assigned to him by the Executive Board or the Membership.
Section 7    The Member-At-Large.
a. He shall represent the general membership, and act as liaison between the officers and the general membership.
b. He shall bring any concern to the board on behave of any member or members.
c. He shall perform all duties incidental to the Office of the Member-At-Large and other duties as assigned to him by the Executive Board or the Membership.
Section 8    As the Board of Directors, the Officers shall see to the welfare of the organization, acting as the coordinating committee for any event sponsored by the organization.

Section 9    Any elected Officer can be removed from office according to the Standing Rules of Order with a two-thirds (2/3) majority vote of ALL eligible voting members.

Section 10     All Officers, Committee Chairs and Agents, upon expiration or termination of their term of office, shall deliver to their successors or to the Secretary all original documents and any copies of the records of their office. They shall also deliver an inventory of any property belonging to the organization in their possession along with all such property.


Article VII – General

Section 1    Except where specified in these by-laws, all decisions on topics of major importance shall be made by a voice vote and shall require a simple majority for approval.

Section 2    All decisions of the organization shall be considered binding upon all members.

Section 3    All members agree to be bound by, to support, and to uphold the Code of Conduct and the Standing Rules of Order in addition to these By-Laws and the Constitution of the organization.

Section 4    Meeting minutes and information sent to members is not for general publication.

Section 5    Any individual at an organization sanctioned event or run found under the influence or suspected to be under the influence of any non-prescription drug shall be dealt with by the executive committee.

Section 6    Any matter not covered by these By-Laws, Standing Rules of Order, Constitution, or Code of Conduct shall be governed by referencing Roberts Rules of Order.


Article VIII – Amendments

Section 1    Amendments to these by-laws may be proposed at any regular meeting of the membership.  A vote shall be called at the following meeting. Amendments are approved by the affirmative vote of two-thirds (2/3) of the members present and voting.  Approved amendments shall become effective immediately.

Section 2    These by-laws became effective, April 13, 2003, and supersede all previous by-laws of this organization.

Section 3    These by-laws are intended to serve as a guideline for the operation of the organization.  At the discretion of the Executive Board and with two-thirds (2/3) majority of the voting membership present, specific statements of the by-laws may be temporarily set aside for the benefit of an individual member or the club as a whole.  The by-laws may never be set aside for purposes to be used against any individual member or the club as a whole.
