ARTICLE I: NAME
This organization shall be known as the Asian Pacific American Law Student Association (hereinafter "APALSA").

ARTICLE II: PURPOSE
APALSA will:
1. Promote Asian Pacific American topics.
2. Contribute to a multicultural awareness at the William S. Boyd School of Law.
3. Provide connections for its members with Asian Pacific American organizations.
4. Actively promote the William S. Boyd School of Law in order to attract a more diverse student body.

ARTICLE III: MEMBERSHIP
1. Membership shall be open, without discrimination, to all law students at the William S. Boyd School of Law.
2. Active members shall consist of all law students who have paid the local chapter dues as required.
3. Alumni members shall consist of all members who have previously participated in APALSA at the William S. Boyd School of Law.
4. Honorary member status may be conferred to people who have provided outstanding service to APALSA or the Asian Pacific American
    community by the Executive Board or by majority vote of its members.
5. All persons may attend any event that APALSA has regardless of paying dues.
6. Each active member is responsible for regularly participating in APALSA activities.
7. Committees for specific events will be organized by the Executive Board when necessary.

ARTICLE IV: EXECUTIVE BOARD
1. The Executive Board shall consist of the following: one (1) President, one (1) Vice-President, one (1) Secretary, one (1) Treasurer, and
    one (1) Events Coordinator.
2. The Executive Board must attend the Executive Board meetings. If a member cannot attend, he or she must give the President  notice
     prior to the meeting.
3. Executive Board Officers shall be elected by a majority vote of its active members at the meeting designated for that purpose to occur at
    some point during the Spring semester. Such election will be coordinated by the Secretary and must occur prior to April 1st of each year.
4. The officers shall serve in office for a term of one (1) year, commencing on April 15th and terminating March 31st of the following year.
    There shall be no set term limit, however, each Executive Board position must be voted on each term.

ARTICLE V: VOTING
1. Each active member shall have one (1) vote with regard to all issues relating to the operation of APALSA.
2. Any active member not present at a meeting will be permitted to vote by proxy by filing notice of such desire with the secretary before the
    meeting and designating who shall hold the proxy.

ARTICLE VI: AMENDMENTS TO CONSTITUTION
The Constitution may be amended by the majority of its members present and voting at a general membership meeting held once each semester, provided that notice and a copy of the Amendment shall be in accordance with any and all policies established by the William S. Boyd School of Law.
ARTICLE I: EXECUTIVE BOARD
1. PRESIDENT - Shall represent APALSA at all meetings, functions, and events. The President shall call and preside over board meetings
    and general meetings. The President shall also determine the agenda and exercise overall leadership.
2. VICE PRESIDENT - Shall act as President in the absence of the President, in the event of his/her inability to perform the duties of the
    President and when so acting shall have all powers and be subjected to all restrictions upon the President. The Vice President shall
    perform such other duties from time to time as may be assigned by the President. The Vice President shall work in conjunction with the
    faculty sponsor to achieve the goals of the organization.
3. SECRETARY - Shall keep the minutes and attendance roles of all meetings and make them available to the general membership.
    He/she shall obtain notes and records of the activities of all the committees and incorporate them into the organizational records.
4. TREASURER - Shall be responsible for maintaining financial records of disbursements of all monies allocated to the organization and
    shall present such records to the organization in the spring each year for budgetary purposes. The Treasurer shall be ex-officio
    chairperson of the Budget Committee and shall prepare and present each new fiscal budget to the Student Government Association
    before the deadline each year. The Treasurer shall also perform other duties from time to time as may be assigned to him/her by the
    President.
5. EVENTS COORDINATOR - Shall be responsible for notifying law students, faculty, and the general public of APALSA sponsored events.
    He/she shall be responsible for coordinating guest speakers and/or conferences. He/she shall be a liaison between APALSA, William S.
    Boyd School of Law, and the legal community.

ARTICLE II: PROCEDURES
1. If the President's office is vacated, the Vice President shall take over the President's position and a new Vice President shall be elected.
2. If the President's and Vice President's offices are vacated, a special election shall be held to fill these vacancies.
