License Agreement


Please read the terms and conditions of this license agreement before purchasing the Occupational Therapy Toolkit CD.

By purchasing the Occupational Therapy Toolkit CD.  You accept and agree to the terms of this License.

This License constitutes the entire agreement.

This Document License Agreement is made and effective by date of purchase and between Cheryl Hall and the licensee (i.e. purchaser).

NOW, THEREFORE, in consideration of the mutual promises set forth herein, Cheryl Hall and Licensee agree as follows:

License Grant
This License permits you, as purchaser of the Occupational Therapy Toolkit CD, to use one copy of the Occupational Therapy Toolkit CD solely for your use on one computer per purchased copy of the Occupational Therapy Toolkit CD. You can make copies of the handouts and treatment guides for your individual patient’s use.

Restrictions
Licensee shall not modify, copy, duplicate, reproduce, license or sublicense the e-book, or transfer or convey the Occupational Therapy Toolkit CD or any right in the Occupational Therapy Toolkit CD to anyone else without the prior written consent of Cheryl Hall.

Cheryl Hall’s Rights
You acknowledge and agree that the Occupational Therapy Toolkit CD is a proprietary product of Cheryl Hall under international copyright law Cheryl Hall owns and retains all copyright and other proprietary rights. This License conveys only a non-exclusive and limited right of use to you, revocable in accordance with the terms and conditions of this License.

Refund Policy
Cheryl Hall will replace the Occupational Therapy Toolkit CD if said product is damaged or defective, and only if you notify in writing Cheryl Hall of the replacement request and return the product within forty-five (45) days after the date you purchased the Occupational Therapy Toolkit CD.

Warranty Disclaimer
DEVELOPER'S WARRANTIES SET FORTH IN THIS AGREEMENT ARE EXCLUSIVE AND ARE IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability
Developer shall not be responsible for, and shall not pay, any amount of incidental, consequential or other indirect damages, whether based on lost revenue or otherwise, regardless of whether Developer was advised of the possibility of such losses in advance. In no event shall Developer's liability hereunder exceed the amount of license fees paid by Licensee, regardless of whether Licensee's claim is based on contract, tort, strict liability, product liability or otherwise.

Governing Law
This Agreement shall be construed and enforced in accordance with the laws of the state of Maryland, USA.

Severability

If any term of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, then this Agreement, including all of the remaining terms, will remain in full force and effect as if such invalid or unenforceable term had never been included.
