Preamble

We, the members of the Alpha of Illinois alumni Association of the Phi Theta Kappa International Honor Society of the Two-Year College, do hereby associate ourselves to preserve the association of member in our present active chapter - Theta Omega, to be of service to Wilbur Wright College, to establish "Big Brother - Big Sister" communications to the incoming Theta Omegans, to stimulate interest in continuing academic endeavors by assisting students in the transition to senior institutions, to assist Theta Omega in all worthy endeavors, to formulate scholarships to be awarded to outstanding members of theta Omega, to encourage the formation of other alumni chapters and to be part of a new idea - an International Phi Theta Kappa Alumni Association.

Article I

The name of the organization shall be Alpha of Illinois Alumni Association of the Phi Theta Kappa International Honor Society of the Two-Year College.

Article II Membership

The membership shall consist of all who meet the obligations set forth by the alumni association.

Section 1.a.: Membership in Alpha of Illinois Alumni Associate shall be available to any former Theta Omega member who terminated their active membership in good standing.

Section 1.b.: Upon the approval of two-thirds (2/3) of the Alpha of Illinois Officers, membership may also granted to any Phi Theta Kappa Alumni who terminated their active membership in good standing.

Section 1.c.: Active Alumni members shall have all of the privileges of active members of Theta Omega except the right to vote or hold office.

Section 1.d.: Inactive Alumni members shall be defined as members who no longer participate in at least one alumni event each year. These members shall maintain Alpha membership but may be dropped from the active mailing list. Inactive members may change their status by contacting any of the active members.

Section 2.a.: Honorary Alumni members. Honorary membership may be granted upon any person who does not meet the requirements for active membership, but who, in the opinion of the association, supports and embraces the ideals of Phi Theta Kappa alumni; shares the alumni commitment to scholarship; and consistently participates in or demonstrates an interest in Phi Theta Kappa activities locally, regionally, and nationally. Upon approval of two-thirds of the Alpha Officers, a certificate of honorary membership will be issued.

Section 2.b.: Honorary members cannot vote, hold office or represent the Society at local, regional or international events.

Section 3: Membership is open to all qualified persons without regard to race, creed, religion, sex, sexual orientation or native origin.

Article III Officers and Duties

The officers of the association shall be President, Vice-President, Recording Secretary, Corresponding Secretary, and Treasurer, all of who shall be active members.

Section 1.: The duties of the President shall be to preside over all chapter meetings. He/she shall coordinate all activities and approve disbursements. He/she shall also serve as a liaison between our chapter and the local, state, regional and national groups.

Section 2.: The duties of the Vice-President shall be to serve as Acting President in the absence of the President. He/she shall present to the president of the chapter a consolidation of the reports of any appointed committees and of Theta Omega activities.

Section 3.: The Recording Secretary shall issue all notices and shall be responsible for all records pertaining to the chapter. He/she shall keep an accurate record of alumni and honorary members of the chapter.

Section 4.: The Corresponding Secretary handle all correspondence and maintain a current mailing list of all members.

Section 5.: The Treasurer shall collect and car for money and property, other than records, belonging to the chapter and shall make payments only upon approval of the president.

Article IV Elections

Elections shall be held at the regularly scheduled annual meeting of the association. Voting shall be by secret ballot, a simple majority of those voting shall constitute the choices. All offices are elected at-large

Section 1.: The term of office shall be two years from the annual meeting.

Section 2.: Nominations shall be tendered at the annual meeting by a nominating committee appointed by the President; nominations shall also be received from the floor.

Section 3.: Only current members in good standing may vote.

Section 4.: Honorary members may not vote.

Section 5.: Votes shall be counted by an advisor/facilitator or someone designated by the advisor/facilitator.

Section 6.: Installation of new officers shall follow balloting.

Article V Qualifications for Officers

Section 1.: All active members are eligible to become officers.

Section 2.: Officers must be active members in good standing who meet all qualifications for membership.

Section 3.: Honorary members are not eligible to hold elected office.

Article VI Advisor/Facilitator

Section 1.: An advisor/facilitator shall be appointed by the college administration after consultation with the membership.

Section 2.: The advisor shall be a member of the faculty or staff of Wilbur Wright College. The facilitator shall be an alumni member appointed, in writing, by the college administration.

Section 3.: The advisor/facilitator shall perform all duties and responsibilities as defined by the Phi Theta Kappa Headquarters.

Article VII Meeting and Dues

Section 1.: A minimum of one meeting per year shall be scheduled for the purpose of scheduling business for the following year. Additional meetings shall be set at the discretion of the membership. Election of officers shall take place at the annual meeting every other (officers hold a two year term).

Section 2.: Local association dues shall be set at each annual meeting. Alpha of Illinois currently imposes no dues upon its membership.

Section 3.: All accounts held in the name of the association shall be audited annually and an audit report presented to the membership.

Section 4.: Phi Theta Kappa Alumni Association dues shall be set by the Phi Theta Kappa Headquarters. These dues shall be optional and do not affect membership with the local association.

Section 5.: Orlowski Scholarship Subsidy. It is the intention of the Alpha of Illinois Association to ensure the perpetual funding of the local Orlowski Scholarship. Therefore, each year the Officers of the Association will examine the treasury accounts and scheduled activities for the upcoming year. After this examination, they will determine what percentage of the following year's fund-raisers should be transferred to the scholarship account. That percentage shall remain in effect until the next annual meeting unless an emergency arises. In the event of an emergency, two-thirds (2/3) of the officers may vote to eliminate the subsidy transfer from one or all remaining fund-raisers scheduled.

Article VIII Quorum

A quorum shall consist of the members present at any announced meeting.

Article IX Robert's Rules of Order

Robert's Rules of Order shall be used as a guide publication for all meetings and invoked as necessary.

Article X Amendments

Amendments of these by-laws shall be submitted to the President in writing, for submission to the members for a vote. A two-thirds (2/3) majority vote shall be necessary for the adoption of any amendment.

Section 1.: All active members shall be notified by the corresponding secretary of the date upon which an amendment will be presented and a vote taken.

Section 2.: Voting on any amendment shall be by written ballot and may be administered by mail.

Section 3.: Amendments shall become effective upon ratification by the active membership and with approval by Phi Theta Kappa Headquarters. In mail voting, ratification shall be considered final when, after a period of two (2) months, two-thirds (2/3) of the respondents vote in favor of the proposed amendments.

ARTICLE XI Dissolution

Section 1.: The association may be dissolved one (1) year after a vote of the general membership to dissolve said association. However, any ten (10) persons eligible for active membership under these by-laws may, by unanimous vote, rescind any action to dissolve the association within one (1) year of such action and call for a reorganization meeting.

Section 2.: Upon a successful vote to dissolve the association, all funds held in its treasury and in its accounts shall be frozen except for payment of creditors as of that date, and shall be turned over in full to the local Orlowski Scholarship Fund within thirty (30) days of final dissolution of the association.
