CONSTITUTION
In this constitution, except where
the context forbids, words signifying singular number are intended to
include the plural number, and vice versa.
'Council' shall mean the Council as constituted under section 3 of this
Constitution.
The terms 'approved', 'recognized' and 'acceptable' shall mean approved
by, recognized by, and acceptable to Council unless the context denotes
otherwise.
The term 'member' shall mean a member of any grade of membership
registered with the Thethe High School Alumni Society, but when written
'Member', it shall mean that particular grade of membership denoted by
clause 2.7 of this Constitution.
1 THE SOCIETY
Name |
1.1 |
The name
of a body of former matriculants of Thethe High School hereby
constituted shall be THETHE HIGH SCHOOL ALUMNI SOCIETY, hereinafter
referred to as 'the Society'. |
Office |
1.2 |
The
office of the Society shall be in the Bafokeng Magisterial District,
North West, South Africa.

Mission
of the Society |
1.3 |
The
Thethe High School Alumni Society strives to serve the students of
Thethe High School and the community of Phokeng through:
|

1.3.1 |
promoting
a spirit of fellowship and co-operation amongst succesive
generations of Thethe High School students.
|
|
1.3.2 |
devising
development programmes to enhance the school's curriculum and help
prepare the current student generation to meet the challenges of the
future.
|
|
1.3.3 |
Being
apolitical and non-discrimatory.
|
2 THE MEMBERSHIP
Name |
2.1.1 |
The
membership of the Society shall consist of Students, Special
membership Members, Members and Friends of the Society. |
Office |
2.1.2 |
Any
member shall qualify as a member of the Society once she/he has paid
the annual subscription fee for the particular grade of membership
she/he belongs to.

Conduct |
2.2 |
Any
member of the Society is required to conduct himself/herself in a
professional manner and show respect to fellow members at all times.
A member behaving in a conduct unbecoming, shall be brought before a
Disciplinary Committee as shall be constituted by Council.

Voting
Rights |
2.3.1 |
Members
and Special Members may nominate and vote in the ballot for members of Council, and vote at
Ordinary and Annual General Meetings.
|

2.3.2 |
All
Members may vote in accordance with the By-laws applicable to the
Professional Chapters.
|
|
2.4 |
This
grade of membership caters for current matriculants of Thethe High
School and such a member shall remain in this grade up to three (3)
years after completing his/her matric.
|
|
2.5 |
Election
to the status of Friend is by invitation of Council to any person
the Society outside the community of Thethe High School who has
rendered important services to the Society and the school.
|
|
2.6 |
This
status is accorded to respected individuals who did not matriculate
Member from Thethe High School but will bring benefit to the Society
through their involvement.
|
|
2.7 |
This
status is accorded to former matriculants of Thethe High School who
are registered with the Society, as well as Special Members on the
date if their first anniversary of registration with the Society.
|
3 COUNCIL
Name |
3.1.1 |
Subject
to the Constitution and in comformity with the By-laws, and Regulations,
the management of the affairs of the Society, shall be vested
in Council whose members shall serve on Council until their succesors
have been elected and have taken office. |

No other members of the
Society shall be termed Office bearers of the Society other than the
incumbents in the portfolios in 3.2.1

Voting
Rights |
3.3.1 |
Principal
of Chapters
The Principal of the
Professional Chapters formed under clause 3.9 shall become
additional members of Council
|
Elligibilty
to the Presidency and Vice- Presidency |
3.3.2 |
The
President and Vice-President shall be elected only from the Members
of the Society.
|
|
3.4 |
Each
Council member shall hold office in his/her respective capacity
terms of office for two years only but shall be immediately eligible
for re-election to the same or any other office excepting that no
President shall be re-elected for a second term and no other member
shall be re-elected to any office for more than two consecutive
terms.

Election
of Office Bearers |
3.5 |
The
nomination and election of office bearers shall be as set out in
the By-laws.
|
|
3.6 |
Council
is empowered to fill any vacancy on theCouncil. A Member so Council
appointed shall serve on Council for the remainder of the current
term of office.
|

3.7 |
Council
shall provide for minutes to be kept of the proceedings of all
meetings of the Society, Council and various other meetings.
|
|
3.8 |
Council
shall frame By-laws and Regulations which shall be consistent
Regulations with the terms of the Constitution, for the conduct of
the business of the Society, the management of the affairs of the
Society and for admission to all grades of membership; such By-laws
and Regulations at any time be added to, repealed or amended by
Council. Such modifications shall be announced at various meetings
of the Society.

3.9 |
Council
may, at it's discretion, and upon the written request signed
Professional by at least ten Members of a particular group of
professions, form a Chapters Professional Chapter of the Society for
such professions. The affairs of the Chapters shall be conducted in
accordance with the By-laws and Regulations.

3.10 |
All
funds, property and assets of the Society shall be vested in
Accounts Council for the time being in trust for the Society. True
accounts shall be kept of all monies received and expended by the
Society and of assets and liabilities of the Society. The Finance
Officer shall administer the funds of the Society in accordance with
the directions of Council to which he/she shall be responsible.
Authorization of all expenditure shall be vested in Council.

3.10.1 |
An
account shall be registered with any legitimate bank through which
the finances of the Society shall be conducted.
|

3.11 |
Council
shall submit at each annual general meeting, a report on the And
accounts affairs of the Society together with a Statement of Income
and xpenditure and balance Sheet made up to the end of the calendar
month preceding the date of the meeting.

4 MEETINGS OF THE SOCIETY
Name |
4.1 |
The
meetings of the Society shall normally be held at the campus of
Regulations Thethe High School in Luka, but may be held at such
other place as Council may decide. |
Times
and dates of Ordinary General Meetings |
4.2 |
Ordinary
General Meetings of the Society shall be held at times and on dates
decided by Council.

Annual
General Meeting |
4.3 |
The
Annual General Meeting of the Society shall be held on a date
decided by Council, to receive and consider the Report of Council,
the audited Income and Expenditure Account and Balance Sheet, the
report of the Chairman of the Electoral Committee on council
elections, and to conduct such other business as Cuncil may decide.

Informal
Meetings |
4.4 |
Council
may either directly or by means of a specially appointed committee
arrange for informal meetings of members to be held.
|
Notices
Of Meetings |
4.5 |
Council
shall give sufficient notice of any meeting of the Society and
provide the proposed agenda for the meeting.
|
Ommision
of Meetings |
4.6 |
The
accidental ommision to give notice of any meeting of the
Society/Council to any member shall not invalidate any resolution
taken at such meeting.
|
5 AMENDMENTS
Amendments
to the Constitution |
5.1 |
Amendments
to the Constitution shall be made following a proposal petitioned by
at least fifteen voting members. Such petition shall first be tabled
before Council prior to discussion at any General Meeting. An
amendment shall only be effected if at least two-thirds of the
quorum vote in favour of the amendment. |

5.2 |
This
Constitution shall remain in operation for at least a period of
twelve months before any amendments to it can be considered.
