9th Welland Venturer Company By-law

Article 1: Name

This Company shall be known as the "9th Welland Venturer Company."

Article 2: Membership

Section(A): Requirements

Anyone within the age requirements specified by Scouts Canada may apply for Membership in the Company.

The Company will establish a process by which Senior Scouts are brought into The Company and made to feel welcome.

Applicants for Membership will be expected to get to know the Company and its ideals. Once this has been done, the applicant becomes a Member by making the Venturer Promise to the Company at an investiture ceremony.

Every Member shall respect the By-law of the Company, the Mission, Principles, and Practices of Scouts Canada, and the By-Law, Policies, and

Procedures of Scouts Canada.

Anyone wishing to withdraw from the Company should give formal notice at least one month prior to departure.

Section (B): Investiture

Investiture will take place before Nov. 30 of that current year, or before 3 months after the first meeting. After Investiture membership applications will only be accepted if there is 75% approval of current invested members. Special circumstances may dictate it is appropriate to accept membership applications after investiture.

Upon becoming invested, the candidate will recite the Venturer promise, law, and motto.

Section (C): Membership Conduct

(i) Inappropriate conduct shall include chronic tardiness, incomplete tasks which reflect on the whole Company, possession of or use of non-medical drugs, alcohol or tobacco products, will not be tolerated prior to and during scouting events and failing to follow the Company By-Laws.

(ii) Swearing, foul language, or discrimination will not be tolerated. Respect for everyone and all property is required at all times. In the event of inappropriate conduct, the Executive shall hold an emergency meeting to analyze the situation and take appropriate action.

(iii) Failure to comply with section (i) will result in immediate termination of membership.

Article 3: Company Executive

The Executive shall consist of the following officers:

President: Chairs all meetings, coordinates Company activities, and represents the Company on the Venturer Council.

Vice-President: acts on behalf of the President in his absence and assumes such other duties as may be requested by the President.

Secretary: Keeps and makes available minutes of all company meetings, and other administrative functions.

Treasurer: Keeps and makes available the financial records of the Company, and other financial functions. Any Company account shall be in the name of "Scouts Canada: 9th Welland Venturer Company" and shall require the signatures of any two of the President, Treasurer, and Advisor to complete a withdrawal.

Other positions may be added as required

Advisor(s): ex officio; as required by BP&P: Helps the Company and its Executive to achieve its goals and represents the Company to the Group Committee and the Venturer Advisors' Council. There may also be Assistant Advisors.

All Executive positions shall be renewed at the start of every Scouting year. A Scouting year is from September to August.

Members of the Executive must be Members of the Company.

The Company Executive are trusted servants. They do not govern.

Article 4: Election of Executive

All Executive positions shall be renewed at a business meeting at the start of every Scouting year. A Scouting year is from September to August.

At this meeting, the Advisor shall ask if there is any opposition in writing two weeks before an election for individual members of the current executive continuing in their respective positions. The author of the opposition shall remain nameless. If no opposition is declared those members of the Executive shall continue in the positions they held. Elections will be held for any position where opposition is declared. The Advisor will act as the returning officer for all elections. A written opposition may be lodge during the year to the advisor. The advisor must review the opposition. If an Executive position becomes vacant, a by-election will be held at the nearest convenience of Company business.

Article 5: Special Events

All Members must attend the Annual Scout Sunday B.P. Church Services.

The Venturer uniform is to be worn at all formal activities.

Article 6: Dues

The Company will charge dues in the amount of $4.00 per month unless it has been decided at the first of the Scouting year to waive the dues for the year

Members are subject to fees levied by other scouting councils.

Article 7: Company Organization

The company shall have at least one business meeting a month except in July and August.

In order for a business meeting to be called to order, there must be present at least one member of the Executive, one person willing and able to take and forward to the secretary the minutes, and one half plus one of the Members of the Company

This bylaw shall be reviewed annually to ensure that it is understood and accepted by the Company.

The Company shall operate in compliance with the Mission, Principles, and Practices of Scouts Canada and the By-Law, Policies, and Procedures of Scouts Canada.

The Company operates in Partnership with Wesley United Church, Welland, Ontario, Canada, and under Charter from Scouts Canada.

Article 8: Voting

60% of the members present at a meeting must support a motion for it to be carried.

60% of all the members must support any motion which amends this By-law.

The Advisor(s) shall have the power to veto any motion or amendment which in their opinion would be detrimental to the Company or its Members.

Article 9: Uniform

Full uniform consists of the official Scout shirt, 9th Welland necker, Venturer epaulets, and woggle. Optional is the belt, and slacks. The Venturer sash is not considered part of 9th Welland uniform. Full uniform shall be worn at the first meeting of the month with the casual uniform consisting of the blue shirt and 9th Welland necker and woggle, which must be worn to all remaining meetings. Full uniform must be worn to all camps unless it has been previously decided not to. Full uniform is to be worn to all joint meetings within the Merritt Trail Area.

Operating the Company

General Information for effective operation

1. Order of Business ("Agenda")

a) President calls the meeting to order

b) The secretary reads the minutes of the preceeding meeting and, 

they may be approved as read, or they may be approved with additions or corrections

c) Deal with unfinished business arising from the last meeting

d) The secretary reads any correspondence

e) The treasurer gives their report, incl. monthly statement

f) Activity committees give their reports

g) The company discusses new business. This may include a speaker, presentation, a talk or discussion of new ideas.

h) Set a date for the next meeting

i) Adjourn the meeting.

Job Descriptions

President

Working with the Executive as a member of a team that organises and administers the company program;

Provide effective communication in the company;

Ensuring that relevant materials and equipment are assembled for business meetings and activities;

Providing for periodic assessments of the company's progress;

Preparing agendas for business and Executive meetings.

The president usually presides over meetings of both the company, and the company Executive.

The president must acquire a working knowledge of the basic rules of order and conduct of a meeting. All the time, he or she should exercise the duties of the office in a way that creates a friendly atmosphere.

In addition, the president should represent the company at meetings of the area/region, when necessary or appropriate.

Vice-President

Each company may select a vice-president. The main duty is to act as president in the absence of that offer, thus fulfilling the duties as outlined for the president. In addition, the vice-president often assumes special responsibilities, as directed by the president.

Secretary

Keeping minutes of all business and executive meetings;

Maintain a brief log of all activities;

Attending to all company publicity;

Communicating by telephone or letter;

Maintaining a record of attendance;

Keeping an updated list of equipment.

 

Treasurer

Recording detailed information on all income and expenses;

Preparing an annual statement of the company's financial situation for consideration by company members and the group/section committee;

Preparing a monthly statement for the company;

Collecting and keeping track of dues

Other Officers

Each company may have an Executive made up of a president, vice-president, secretary, and treasurer. Large companies can, if they wish, have additional officers elected to specific positions. These may include a program co-ordinator, a fundraising co-ordinator, log keeper, quartermaster, sports co-ordinator, etc. For efficient operation, however, keep the number on the executive to a minimum; fill other positions by activity committee and chairmen as needed.
