CONSTITUTION AND BY LAWS

                          CONSTITUTION and BY-LAWS                                                 of the FILIPINO CANADIAN HERITAGE SOCIETY OF NOVA SCOTIA


ARTICLE 1. DEFINITIONS
    1.1 In these By-laws, unless there be something in the subject or context inconsistent therewith:
  • a) "Society" means the "Filipino Canadian Heritage Society of Nova Scotia";
  • b) "Registrar" means the "Registrar of Joint Stock Companies;
  • c) "Special Resolution" means a resolution passed by not less than three-fourths of such members entitled to vote as are present in person or by proxy at a general meeting of which notice specifying the intention to propose the resolution as a special resolution has been given.
ARTICLE 2. MEMBERSHIP
    2.1 ADMISSION TO MEMBERSHIP: The First Subscribers to the Memorandum of Association and such other persons as shall be admitted upon application for membership and approval thereof in accordance with these By-laws and upon full payment of the appropriate annual membership fee (see Articles 2.4 and 12.3); their names shall be entered in the Register of Members and issued identification cards or other proof of membership.
    2.2 REGISTRATION: For the purpose of registration, the number of members of the Society is unlimited.
    2.3 CLASSES OF MEMBERSHIP:
  • d) "Active" membership shall be available to Nova Scotian residents of Filipino descent, 18 years of age and over, and their families;
  • e) "Associate" membership shall be available to Nova Scotian residents or non-residents, of Filipino or non-Filipino descent, 18 years and over, who express sincere interest in Philippine culture, demonstrate willingness to participate in the Society's activities and pursuit of its objectives and promise to abide by the Society's By-laws and other rules and regulations;
  • f) "Honourary" membership shall be conferred upon deserving individuals, regardless of descent or residence, whom the Directors deem to have contributed to the advancement of the Society's objectives and/or rendered commendable service to the Society and to other Filipino Canadian communities and organizations.
      1. The designation of "honourary" membership shall be determined by the Board of first Directors subject to approval by a two-thirds majority vote of members present and voting at the Annual General Meeting;

      2. Honourary membership shall be automatically conferred upon the incumbent Philippine Ambassador to Canada and the Premier of Nova Scotia who shall be duly notified of their honourary membership status no later than 30 days of their assumption of office.
    2.4 MEMBERSHIP FEE:
  • a) Annual membership fees are due no later than March 31 and a late fee of 20% shall be applied after this date;
  • b) The appropriate annual membership fee during each term shall be determined by the Board of Directors subject to the approval of the Society at a general meeting by a two-thirds majority vote of those members present and voting;
  • c) Active members who are 65 years and over, full-time students who are 18 years and over, and honourary members shall be exempt from membership fees;
    d) A lifetime, one-time membership fee shall be determined by the Board of Directors subject to approval of the Society at a general meeting by a two-thirds majority vote of those members present and voting.
