The undersigned, ROMANIAN INSTITUTE FOR INTERNET, SOFTWARE AND ENGINEERING S.R.L. Romanian legal company, headquartered in Romania, Bucharest, 4 Ion Ionescu de la Brad Avenue, District 1,

Through the present we want to inform you about the obnoxious behavior of a mortgages company in the UK. The company in question is HOMEBANK MORTGAGES PLC, whose registered office is West Stow Lodge, West Stow, Bury St Edmunds IP28 6ET and whose trading address is Finance House, 20a-30 Abington Street, Northampton NN1 2AJ, duly represented by its chairman, Mr. George Dodds.

HOMEBANK MORTGAGES PLC appointed in November 2004 the ROMANIAN INSTITUTE FOR INTERNET, SOFTWARE AND ENGINEERING S.R.L. to provide certain services, to locate and refer customers to HOMEBANK MORTGAGES PLC, as a call centers company.

Considering your total unprofessional attitude and also the incident occurred between our companies, we hereby considered necessary to inform you that this is a company who not only violated the terms of the Agreement with our company, but also the financial regulations in the UK.

According to the Financial Services regulations, in order to make phone calls with the purpose of setting a mortgage appointment, a Mortgage company has to solicit a survey for its potential customers, in which they have to give their express approval to receive a phone call regarding mortgages. HOMEBANK MORTGAGES PLC not only ignored this regulation, but imposed the ROMANIAN INSTITUTE FOR INTERNET, SOFTWARE AND ENGINEERING S.R.L and its employees to make phone calls with the purpose of setting mortgage appointments without any kind of survey, and also provided the database of phone numbers in order to do so, which is another action prohibited by the FSA regulations, according to our information.

The most obvious proof of the total lack of professionalism and seriousness of HOMEBANK MORTGAGES PLC is the fact that the company, regardless of the article 16 (“Termination”), in the Agreement with ROMANIAN INSTITUTE FOR INTERNET, SOFTWARE AND ENGINEERING S.R.L, terminated the Agreement without prior written notice and moreover, offered employment to all our agents, and actually employed all the agents by misinforming them that the ROMANIAN INSTITUTE FOR INTERNET, SOFTWARE AND ENGINEERING S.R.L would not pay their salaries, without any kind of warning, and without any particular reason to do so. The person who was in charge of this action, and who is now the manager of the callcenter owned by HOMEBANK MORTGAGES PLC is Mr. Robert Baystead.

HOMEBANK MORTGAGES PLC neither paid the ROMANIAN INSTITUTE FOR INTERNET, SOFTWARE AND ENGINEERING S.R.L the amounts due for the services provided under the Agreeement. Mrs. Deborah Louise Mcaree, the account representative of has not replied to any of the notes sent by the ROMANIAN INSTITUTE FOR INTERNET, SOFTWARE AND ENGINEERING S.R.L in this respect.

The warning notes were also sent by the ROMANIAN INSTITUTE FOR INTERNET, SOFTWARE AND ENGINEERING S.R.L to other members of the board at HOMEBANK MORTGAGES PLC, Mr. Rupert Paul Atkinson and Mr. Nigel Pope, who did not reply in any way to all these.

Second, as regard the amount due by HOMEBANK MORTGAGES PLC, because the ROMANIAN INSTITUTE FOR INTERNET, SOFTWARE AND ENGINEERING S.R.L, was put in the awful situation to can not start immediately a new business and, even if such a thing were possible, it would be impossible for it to reach the level of development reached under the Agreement concluded with HOMEBANK in a period shorter than 3 (three) months, HOMEBANK ignored the Termination Note and the request to pay damages representing the amounts due after an approximation of the sales for 3 (three) months received from the ROMANIAN INSTITUTE FOR INTERNET, SOFTWARE AND ENGINEERING S.R.L.

Just for exemplification we brought to your attention several aspects of the inappropriate and unprofessional attitude and behaviour of HOMEBANK MORTGAGES PLC, an UK company who claims to respect the law in your country and who is supposed to deal with such important services, financial services.

In this respect, we are positive that the actions of such a company can only tarnish the reputation of the financial services in the UK.

The present note comes as an attempt to warn in an amiable manner the issues HOMEBANK MORTGAGES PLC may cause in other different way to other companies and to the people in the UK they do business with.
