SEBI (Disclosure and Investor Protection) Guidelines, 2000 - Chapter X to XIV

The scope of DIP Guidelines under Clause 1.4 is stated under:

These Guidelines shall be applicable to all public issues by listed and unlisted companies, all offers for sale and rights issues by listed companies whose equity share capital is listed, except in case of rights issues where the aggregate value of securities offered does not exceed Rs.50 lacs, where it is applicable in part. Provisions in these guidelines are also applicable to public issues by unlisted companies shall also apply to offers for sale to the public by unlisted companies.

The guidelines exhaustively deal with public issues for raising equity capital in the primary market. It also prescribes guidelines for raising equity capital through book building route.

Public issues (IPO) can also be raised-

  1. through the Stock Exchange on-line System, described as (e-IPO)

  2. Corporates raise debt capital i.e. Debentures from the capital market

  3. Preferential Issues

  4. Bonus Issues

  5. Raising Issues through OTCEI

Public Issues raised by Financial Institutions are governed by distinct guidelines
