NAME The name of this organization shall be: Lincoln Way Corridor Association.
VISION ...a Lincoln Way Corridor that exemplifies a community's ability to significantly enhance its livability, image and economy through collaborative planning, careful development and the recognition that even the busiest of commercial thoroughfares can be safe, efficient and beautiful.
MISSION The mission of the Lincoln Way Corridor Association is to demonstrate the highest standard of collaborative citizen action while working to maximize the many potential areas of opportunity the Perry Township Lincoln Way Corridor offers to the community-at-large.
PURPOSE The purpose of the Lincoln Way Corridor Association is to serve as a framework within which citizens may act to initiate, direct and sustain improvement projects for the benefit of all who travel, reside and do business along Perry Township's primary commercial corridor.
BOUNDARIES The Lincoln Way Corridor shall be defined as the portion of Ohio State Route 172, known as Lincoln Way East and West Tuscarawas Street, that lies within the boundaries of Perry Township, Stark County, Ohio. Within the association, the corridor shall be comprised of three districts: District One: Jackson Avenue to Genoa Avenue District Two: Genoa Avenue to Perry Drive District Three: Perry Drive to Whipple Avenue
MEMBERSHIP Membership in the Association shall be open to all persons who meet one or more of the following criteria: Resident of Perry Township Owner of property along the corridor Owner, employee or designated representative of a business/organization along the corridor Membership for eligible individuals shall commence upon payment of annual dues as outlined in Article Twelve.
OFFICERS The officers of this association, their terms of service and duties shall be: President (one year) Preside at all meetings of the general membership Present progress report at annual meeting Oversee all committees and act as ex officio member without vote for each except the Membership Committee Act as official spokesperson for the association Vice President (one year) Assist president in performance of duties Act in president's absence Assume office of president in the event of a mid-term vacancy Preside over meetings of the Executive Committee Secretary (two years) Maintain membership data Send meeting notices and other correspondence as needed Keep minutes of meetings of the general membership and executive committee and appoint someone to do so as needed Provide minutes of previous meetings of the general membership as requested by members Treasurer (two years) Collect dues from membership Comply with financial accounting regulations of the association Maintain accurate financial records and files of pertinent documents Make disbursements as directed Make at least one report to the general membership per quarter Historian (one year) Collect and preserve documents related to the association's activities during the year Prepare a durable yearbook to be made available to the general membership as needed for reference throughout the succeeding years
ELECTIONS Nominations for officers shall be presented to the membership at the November regular meeting. Officers shall be elected at the Annual Meeting to be held each year in January. Terms shall commence at election. Each officer shall remain in office until a successor has been elected. No person shall hold office of President or Vice President for two consecutive terms. Upon determination of the existence of a vacancy in an office or committee chairmanship, the Executive Committee shall meet as soon as practicable to form a recommendation which shall be presented to the general membership at the next regular meeting.
REMOVAL OF OFFICERS Officer(s) may be removed from office by vote of a majority of the members present at a meeting of members called for the purpose of removing officers. Such removal shall create a vacancy or vacancies.
STANDING COMMITTEES The ongoing committees of the Lincoln Way Corridor Association shall report to the general membership monthly. All committees are open to the general membership with exception of the Executive Committee which shall be comprised of the elected officers and one randomly-selected representative of the general membership. Committee chairpersons shall be elected by the general membership at the Annual Meeting. The committee names and functions shall be:
EXECUTIVE COMMITTEE Prepare agenda for regular meetings of the general membership Make recommendations in case of vacancies in the offices of Vice President, Treasurer, Secretary, Historian and/or Committee Chair. Resolve disputes between committees, officers and membership Revise standard operating procedures and review bylaws.
DISTRICT COMMITTEES (One for each of the three districts) Collect data regarding properties within the district Provide regular contact with businesses, property owners and residents Gather and report on information regarding issues, concerns and events Create and implement an annual award program Actively recruit association members
COMMUNICATIONS Publish newsletter to membership Create and implement yearly communications plan Gather relevant media reports from local and national sources Maintain a clipping file on association activities Other communications duties as needed
LIAISON / MEDIATION Provide representation at all meetings of the Perry Township Trustees Initiate and maintain contacts with government, business and civic organizations Maintain files on programs, projects, legislation and other relevant matters Provide mediation services as needed between property owners, residents, businesses, government etc.
FUNDRAISING Research and pursue financial resources from public and private sources for initiatives and projects Create fund-raising goals and implement plan for their achievement Maintain economic data for corridor, township, region etc.
MEMBERSHIP Organize and facilitate Annual Meeting and elections Gather nominations from membership for officers and committee chairs Recruit members for committee service and maintain information on committee staffing needs
MEETINGS Meetings of the general membership shall be held on a day, time and place to be determined. Special meetings may be called by the president, the Executive Committee or upon the written request of at least 10 members of the association. A notice for a special meeting will be sent to all members outlining the meeting's purpose. No matters other than that stated in the notice will be addressed. A majority of members must be present in order to constitute a quorum.
DUES Annual dues shall be in the amount of $24. New members who join mid-year shall pay an amount equal to $2 times the remaining months of the year.
REVISIONS TO BYLAWS These established bylaws shall be reviewed annually by the Executive Committee including consideration of recommendations submitted by the membership. In addition to the annual review, changes may be submitted, or recommended to the Executive Committee by Committee Members and/or concerned members at any time when needs become apparent. Changes to the bylaws shall become effective upon an affirmative vote of two-thirds of the general membership.
EQUITY CLAUSE The Lincoln Way Corridor Association does not discriminate as to race, creed, religion, color, gender, national origin, age, disability, marital status, sexual orientation, political opinion or economic status.
