Article I Name |
|
|
|
The name of this association shall be the "WVU Tech -
Alumni Association, Charleston, WV Chapter". Its place of business shall
be considered as being at Verizon - West Virginia, 1500 MacCorkle
Avenue, Charleston, West Virginia 25314 |
|
|
|
|
Article II Purpose |
|
|
|
The purpose of this Association is to bring together
graduates and students of WVU Tech, representatives of the various
organizations within the Charleston, West Virginia area and any other
interested parties in order to develop and promote a better relationship
among WVU Tech, its graduates, students and the general public.

The Association shall not engage in or be party to
any political activities or association(s), lobby or otherwise try to
influence legislation or any Legislative member on behalf of this
Association, any member's employer or WVU Tech. No part of the funds
of the Association shall be used for any political activities or to
engage in any political activities.

Article III Membership |
|
|
|
Section 1 |
The Association shall have the following membership
classifications:

College Members - The President, any Faculty
member, Career Planning and Placement representatives or others at WVU
Tech shall be considered as College Members. These members shall act
in an advisory capacity only and shall have no voting rights, but may
serve on committees in an advisory capacity. No dues shall be required
of these members.

Honorary Members - Upon action by the membership
committee, honorary membership may be offered to any person deemed as
acceptable to the Association. Such membership shall have all rights
and privileges afforded to a General member except that of a member of
the Governing Board, Officer or Director.

Section 2. |
Membership shall be approved by the Membership
Committee and welcomed by the president. |
|
|
|
|
Article IV Governing Board:
Officers or Directors |
|
|
|
Section 1. |
The administrative responsibilities of the
Association shall be vested in an elected Governing Board of Officers or
Directors consisting of a President, a Vice-President, a Secretary, an
Assistant Secretary, a Treasurer and an Assistant Treasurer. The Board
shall take office at the beginning of each calendar year, but no later
than the first meeting of the new year and in no event later than
February 1st of that year following the annual membership
meeting during which they have been elected. Said election shall occur
no later than the first meeting of each succeeding year after
establishment of this Association.

Section 2. |
The term of office for any Officer or Director shall
be no more than one (1) year and no Officer or Director may serve for
more than two (2) consecutive terms. |

|
Article V Amendments |
|
|
|
Section 1. |
Proposed amendments to or revisions of this
Constitution shall be submitted to the President in writing at least two
(2) weeks prior to any quarterly membership meeting. Amendments to or
revisions of this Constitution may be submitted by any member or group
of members who are in good standing in the Association or any ad-hoc
committee of members who are in good standing with the Association as
formed to amend or revise this Constitution. |

Section 2. |
Proposed amendments to or revisions of this
Constitution shall be presented to and discussed by the general
membership at the first quarterly meeting after their submission. Any
member who is in good standing in the Association or any duly elected
member representing a group of members who are in good standing in the
Association may present proposed amendments to or revisions of it's
Constitution. |

Section 3. |
Passage of Amendments to or revisions of this
Constitution shall be made by a 2/3-majority vote of those members in
good standing and who are present and accounted for and are at the
meeting at the time of the vote. No amendments to or revisions of this
Constitution shall be made unless a quorum of members who are in good
standing and being present and accounted for and at the meeting during
which the proposed amendments to or revisions of this Constitution are
presented. A quorum of members shall be considered as present when no
less than 51% of those members who are in good standing, being present
or represented via proxy and accounted for are at the meeting.

Article VI Dissolution
of the Association |
|
|
|
Section 1. |
In the event of the dissolution of this Association
either voluntary or involuntary, all assets and properties, which remain
after the discharge of any liabilities, shall be given as a direct gift
to the Tech Foundation scholarship fund. In no event shall any funds for
whatever reason be distributed to any Association member or Association
family member except those funds associated with scholarships. |
